Kaupapa:

To develop a structure for managing the Treaty Settlement


funds allocated through Rongomaraeroa Marae

The Marae Trustees invite all members of Ng Hap o Rongomaraeroa to discuss governance options for
the funds derived from the Heretaunga/Tamatea Treaty Settlement process. This is a new Hap asset
and requires collective thinking about how it is to be looked after.
The Heretaunga Tamatea Settlement Trust (HTST) is to pay to each of their 23 constituent marae the
amount of $100,000 of funds held on account to be followed by $1M upon settlement by the crown. The
Deed of Settlement (DoS) identifies one of those 23 Marae as being Rongomaraeroa.
Hap members have recently completed the election of Trustees for Rongomaraeroa Marae and
approval of a Marae Charter. During this process it was agreed that the Charter and the Trustees
appointed deal only with the Maori Reservation1 for the Marae, Urupa and Recreation Ground under
titles for Porangahau 2B10, 2B11 and 2B17.
Building on this decision, it follows that although the payment is being made to the Marae, the Hap
may determine an alternative structure to manage this new Hap asset. The hui will check this
assumption and work through a number of questions, that when answered, will identify a framework for
asset management for ng hap Rongomaraeroa.
By the end of the hui you will have identified:

Your preferred option/s for legal entity;


Ownership and the rightful beneficiaries of the legal entity;
The purpose of the entity, a statement describing its core business;
The principles for governance;
The skill mix required to govern;
The next steps: a process for establishing the structure and recruitment for its governance;
Who takes the lead responsibility for this work and future planning.

This important hui will focus forward, looks at the potential and the future for Ng Hap o
Rongomaraeroa. So have a little think about the following questions and jot down some notes or any
more questions that you think are important.
There will be a pot luck lunch so please bring a plate.

Does the hui agree that an entity separate from the Marae Trustees is necessary?
If so, does the hui see any purpose other than managing the settlement funds for this entity?
Should the structure be representative of the Marae or hap/whnau?
Who are the Hap and are there others who ought to be included as beneficiaries of the settlement?
If there is a new structure or revamp of an exisiting one

What does its relationship with its beneficiaries look like;


What does its relationships with other hap related entities look like;
What it is empowered to do; and
What it is restricted from doing.

What do you want the structure to provide (some thoughts):

Accountability
Protection of assets
Democratic process
Provision for hearing and resolving disputes
Minimal taxation
Enduring long term capital base for the hap

What are the skills and characteristics of the people appointed to govern this new hap asset?
Is there any specific provision for ahi kaa/hau kainga?
How does the structure accommodate a range of views eg kaumatua, pakeke, rangatahi?
What do you want the structure to achieve? (some options)

Investment for financial return?


Engage in business activity?
Engage in social activity?
Provide individual benefits to beneficiaries?
Provide operating revenue for the marae?
Fund development of Marae facilities?

What of the other hap roles or activities, who should take care of these?

Strategic planning;
Political and commercial leverage for the marae and hap;
Facilitation of hap cultural activities, Wananga etc;
Represent the hap position on matters of local and national government;
Administration and communication with hap members.
