1. OPENING
Grand Conclave was opened in Ample Form by the Most Worthy Grand Supreme Ruler at
12.30 p.m.
2. INMEMORIAM
The Grand Supreme Ruler addressed the Brethren as follows:
During the last year the Almighty Friend of All Friends has called a number of Brethren to
higher service, including 80 Grand Officers, who are all detailed in the Report of the Executive
Committee. However, I would like to mention in particular the loss of R.Wy.Bro. Graham
Acton Bracewell, P.Prov.G.S.R., R.Wy.Bro. Edward Lawrence Joseph Smith, P.Prov.G.S.R.,
R.Wy.Bro. Kenneth Allan Brown, P.G.G., R.Wy.Bro. Thomas James Albert Gibbons, P.G.G.,
R.Wy.Bro. David Carr Hooker, P.G.G., R.Wy.Bro. Donald Postles, P.G.G., R.Wy.Bro. Frank

Today we are offering our thanks to the Almighty Friend of all Friends for their friendship,
and I now call upon the Grand Chaplain for a memoriam prayer.
The Brethren stood to Order whilst the Grand Chaplain offered prayer.
The Grand Supreme Ruler addressed the Brethren as follows:
Today is the eleventh day of the eleventh month. This morning eleven oclock was the
time for the customary Act of Remembrance. Many of you may not have been able to share
properly in this, because of work for or travelling to this meeting. So it is appropriate that we
should now have a brief observance in remembrance. Brethren, please stand. Let us remember
before God, the Almighty Friend of all Friends, and commend to His sure keeping. All those
who have died for their country in war, those whom we knew and whose memory we treasure,
those who were our Brethren in this fraternal Order, all those who have lived and died in the
service of mankind. Let us keep silence.
The Grand Organist then played the last post whilst the Grand Chaplain recited: They shall
grow not old as we that are left grow old; age shall not weary them nor the years condemn. At
the going down of the sun and in the morning we will remember them.
The Grand Chaplain then gave the following prayer: Almighty friend of all friends, from
whose love we can never be parted either by death or life; hear our prayers and thanksgiving
for all whom we remember this day. Fulfil in them the purpose of Thy love; and bring us all,
with them, to Thine eternal joy.
3. ACTIVEOFFICERS
The Acting Grand Recorder called the Roll of the Active Officers all being present except
seven who had sent apologies.
4. MINUTES
The Minutes of the Annual Meeting held on 14 November 2013, having been printed and
circulated with the Summons for the meeting, were taken as read and confirmed.
5. REPORT OF THE EXECUTIVE COMMITTEE
On the proposition of the President of the Executive Committee, seconded by the Acting
Grand Recorder, the Report of the Executive Committee for the twelve months ended 31
August 2014, was taken as read, approved and adopted. (The Report is printed as Annex A
hereto).
6. REPORT OF THE GRAND GUIDE
The Grand Guide, R.Wy.Bro. T. D. Currans, presented his report for the twelve months ended
31 August 2014. The report, having been printed and circulated with the summons for the
meeting, and printed as Annex B hereto, was taken as read and confirmed.
7. AUDITED STATEMENT OF ACCOUNTS 2012-2013
On the proposition of the Grand Treasurer, seconded by the Acting Grand Recorder and
carried by the Brethren, the Audited Statement of Accounts of the Order for the financial year
1 September 2012 to 31 August 2013, and printed as Annex C hereto, were formally approved
and adopted.
8. REPORT OF THE GRAND TREASURER
The Grand Treasurer presented his Report on the Accounts of Grand Conclave for the
financial year 1 September 2013 to 31 August 2014.

9. INVESTITURE OF GRAND CHANCELLORS


The Grand Supreme Ruler addressed the Brethren as follows:
Brethren, one of the most pleasant duties of the office of Grand Supreme Ruler is to confer
high honours on worthy and deserving Brethren.
There are a number of Brethren who have given wonderful service to this order over long
periods and I am pleased to announce that this year I have appointed to the honour and dignity
of Grand Chancellor, the following Brethren:

The Escort retired. The Brethren were called to Order and the Escort re-entered Grand
Conclave accompanying the Grand Chancellors elect.
The Grand Supreme Ruler then addressed each recipient in turn as follows:
R.Wy.Bro. Peter Coles, your lengthy O.S.M. career has included work as a Provincial
Recorder and then as a long serving and hard-working Prov.G.S.R. Also in the last four years
you have been a vital member of the teams which have carried out extensive work in the O.S.M.
and other Orders on three visits to India and Malaysia.
R.Wy.Bro. Malcolm Slater, another respected and successful Prov.G.S.R., you then became
President of my Executive Committee and have done that job admirably for the last four years,
in addition to your heavily increased workload in the K.T. Yet you also have still found the time
and wherewithal to participate in the last two working visits to India and Malaysia.
R.Wy.Bro. Roeinton Khambatta, you were the Grand Counsellor nearly 20 years ago. A man
of vast experience in Masonry, you have been a source of wise counsel and advice to the
leadership of this Order for a long time and thus indirectly you have had a significant influence
on the development of the Order in recent years.
R.Wy.Bro. Alan Wright, in addition to your duties and responsibilities in the Cryptic and
other Orders, you have long been an active supporter of the O.S.M. and myself. For example
as a Dep.G.D.C. in 2000 and 2001, then as my G.D.C. when consecrating the Persaudaraan
Conclave in Malaysia in 2003, and on subsequent occasions. You also consecrated the LArc
du Leman Conclave for me in Switzerland in 2011.
My very dear Brethren, as you are well aware, Grand Chancellor is an honour conferred upon
Brethren in recognition of distinguished service to our Order. By your dedication and work in
and for the Order, each of you has proved himself a worthy recipient of this preferment. I now
call upon the Grand Chaplain for the benefit of prayer.
The Grand Supreme Ruler then invested each recipient with the Chain of the Office and placed
in their hand the Baton, the symbol of their authority. The newly appointed Grand Chancellors

10. GRAND SUPREME RULERS ADDRESS
The Grand Supreme Ruler addressed Grand Conclave as follows:
Brethren, as I rise to address you on this very special occasion, it is most heartening to see so
many here, especially those who have travelled from overseas and from distant places at home.
Those from overseas will be welcomed individually later. As far as home is concerned, may I
at this stage, mention just one brother who is 91 on his next birthday, which is on 25 December,
and who has travelled well over 500 miles from the north of Scotland. I refer to R.Wy.Bro. John
Charles Grant, P.G.G.Brother G.D.C., will you please conduct him to me. R.Wy.Bro. Jock,
a Founder of three of the five conclaves in your Province, Im told that you havent missed a
single meeting in two of them and only a few in the third one and that at 90 you still take active
roles in the ceremonies. In addition, you have been a reliable source of sound advice on matters
in North Scotland. I am therefore promoting you to the rank of Past Grand Counsellor and now
invest you with the sash and congratulate you.
I have already mentioned Home and Overseas and I suppose that in looking back over the past
twelve months, you might view it as a year of Home and Away. Let me review just a few of

the highlights. First, the installation of six new Provincial Grand Supreme Rulers and District
Grand Supreme Rulers, both at home and away. Perhaps I can ask each of the new Rulers to
stand as I name them, so that we can formally welcome them in this Grand Conclave.

Unfortunately R.Wy.Bro. Martin Thomas (The Far East) and R.Wy.Bro. Jose Luis MenoyoGarcia (Spain) have not been able to travel to join us today.
We congratulate them all and wish them every success in their new appointments. We are also
grateful to their predecessors for their periods of stewardship. In the ceremonies of installing
new Rulers in these widespread locations, I have had splendid support by the team of active
Grand Officers and the members of the Grand Supreme Rulers Arch of Steel; I do thank them.
Amongst other happenings at home, the O.S.M. Benevolent Fund merits a word or two. It is
encouraging to note that the generosity of provinces, conclaves and individuals (for example
Trevor Cavills O.S.M. napkin scheme), has replenished the Fund sufficiently to resume
matched-funding donations, that is disbursements to worthy causes to match (within stated
limits) the donations made by provinces.
In addition to installing Provincial Rulers at home, I have been able to make visits to several
Provinces and Conclaves and enjoyed the welcome and company of the Brethren. None more
so than at the meeting of The Supreme Rulers Conclave No. 123 in June. My Deputy, R.Wy.
Bro. Brian Price, performed a This is your Life operation on me, (an embarrassingly wellresearched This is your Life operation), followed by presentations, on behalf of all the Brethren
and conclaves of the Order, of a Book of Messages from Provinces and Conclaves (including a
poem by the Arch of Steel Conclave), a magnificent specially-commissioned oil painting of the
Helvellyn Ridge in the Lake District and a most generous cheque. May I reiterate that I am so
grateful to the Brethren for their kindness and generosity, in presenting these lasting mementos.
Now, important events away from home. In December last year, sovereign Grand Conclaves
and Councils were constituted in India in the O.S.M. and the Orders of the r.S.M. and the
A.M.D. I had the honour to lead an enthusiastic and experienced team drawn from the U.K.,
Sri Lanka, Malaysia and the Caribbean, to carry out the Grand Inauguration Ceremonies in
the O.S.M. and on behalf of the Grand Masters of the RSM, M.Ill.Comp. J. Alan Wright, and
of the A.M.D., M.W.Bro. Tom Jackson, installing our good friend and Past Assistant Grand
Supreme Ruler, Madhavan Chellappa, as Grand Master in each of the new Orders. We wish
him continued success in his high Offices.
A further important feature of this visit to India was the performance of the complex Scarlet
Cord 4th Grade Ceremony by a team under the command of M.Dist.Comp. Andy Sweeney, the
Grand Summus of the Order of the Scarlet Cord.
The other major overseas event was at the end of July in Malaysia. Nine of us from the U.K.
were joined in Kuala Lumpur and Penang by other inveterate travellers from India, Sri Lanka,
the Caribbean and Hong Kong to carry out Consecrations in the O.S.M. and the A.M.D., and
three Installations of District Rulers (2 in O.S.M. and 1 in Scarlet Cord), as well as constituting
a Scarlet Cord District. I was particularly honoured that the Brethren had asked for one of the
new conclaves to be named the Michael Guest Conclave.
As regards Hong Kong, V.Wy.Bro. Martin Thomas had kindly agreed to travel to Malaysia
with a number of his Brethren, so that I could install him as District Grand Supreme Ruler for
the District of the Far East during our visit, rather than be installed in his home territory but by
a past District Grand Supreme Ruler.
The whole visit to Malaysia was accomplished by the Brethren at their own expense. The visit
was not classified by M.M.H. as an official event, so there was no financial contribution by
M.M.H. or participation by any of the Secretariat. We enjoyed fantastic hospitality from the
Brethren of Malaysia, led by R.Wy.Bro. Khoo Boo Khean, including for example the regal
banquet prepared by five Australian celebrity chefs at his house-warming. I am very grateful
to him for his kindness and thorough organisation and also to the all the members of the team
for their personal support and work in what was viewed as one of the happiest, hard-working
overseas visits. More importantly, we realised that it meant a great deal to the Brethren of

Malaysia and Hong Kong, who were very appreciative of what we did.
Whilst I am saying thank you, I must pay tribute to R.Wy.Bro. Brian Price, my Deputy Grand
Supreme Ruler for the last four years. He has supported me marvellously, both at home and
away, despite bouts of ill-health. We are so glad that recent serious operations appear to have
solved his internal problems and restored him to good health.
I must also thank R.Wy.Bro. John Brackley for his work as Assistant Grand Supreme Ruler
and for his ever-available good advice. There are many others I need to thank, but the list is
too long to detail everyone. So forgive me if I just mention the Grand Guide, Trevor Currans,
the Grand Chaplain, Trevor Walker, the Grand Treasurer, Michael Squires, that superb G.D.C.,
Paul Clement, and his Deputies, the Grand Supreme Rulers Arch of Steel, the Grand Recorder
and his secretarial staff and Len Millings and Tommy Thomson.
So now, as we move into a new era in the O.S.M., with a new Grand Supreme Ruler, may
I thank you for allowing me to lead and serve as your Grand Supreme Ruler and for your
friendship and support.
11. ELECTION OF THE GRAND SUPREME RULER
The Right Worthy Grand Supreme Ruler called upon R.Wy.Bro. M. E. Herbert, P.Dep.G.S.R.,
to propose the Election of the Grand Supreme Ruler. R.Wy.Bro. Herbert addressed the Brethren
as follows:
Very dear Brethren, it is my honour and privilege to propose the election of our Grand
Supreme Ruler. It was in 1995 that Most Worthy Brother Michael William Guest first rose to
prominence when he became a Provincial Grand Supreme Ruler and in 2001 he was appointed
as a Deputy Grand Supreme Ruler, which office he filled until 2005. It was in 2009 that he
was first elected to be our Grand Supreme Ruler and the order has benefitted from his wise and
dedicated leadership. But all good things come to an end and Michael has decided to retire. We
know that he will continue to do all that is good for the order and we wish him a long, happy
and healthy retirement. Since 1992 I have had the privilege of working closely with three Grand
Supreme Rulers, Geoffrey Dicker, Peter Glyn Williams and Michael Guest, each and every one
of them an inspiring leader. We now have to find someone to fill their shoes and I believe that
we have in our midst such an exceptional Brother. The one I have in mind served as Provincial
Grand Supreme Ruler for ten years, and since 2010 has been the Grand Director of Ceremonies.
He has filled these offices with great distinction. I refer, of course, to Right Worthy Brother
Paul Raymond Clement and it is with supreme confidence that I propose his election as our
Grand Supreme Ruler.
The proposition was seconded by R.Wy.Bro. B. C. Wareham, P.Dep.G.S.R., O.S.S.M.M.
R.Wy.Bro. Paul Raymond Clement, G.Chan., was elected with acclamation as Grand Supreme

R.Wy.Bro. Paul Clement, you are a man of many talents, including those of organist,
musician, ritualist and a leader of men and Masons in many Orders. In the O.S.M. you have
served as Grand Organist, Prov.G.S.R., G.Chancellor and G.D.C.a very unique record! At
the same time you have enjoyed a full and happy family life and managed more than one
thriving business. As Great Marshal in the Great Priory of the United Orders, you continue to
ensure that the Brother Knights have happy and dignified meetings. With this wealth of talent
and commitment to hard work, you are more than well suited to lead the O.S.M. forward.
The yearly meeting of Grand Conclave has been referred to as the annual prize-giving, by a
certain senior mason (whom I wont name). The annual prize-giving! Well, today you have
been awarded the top prize, because the Brethren here present and in accordance with the
Constitutions and Regulations of this Sovereign Grand Conclave, have elected you to the Office
of Grand Supreme Ruler. Before proceeding to install you it is necessary that I enquire if you
are able and ready to accept the Office and to undertake the duties thereof and whether you are
willing to take the Obligation of a Grand Supreme Ruler.
The answer being in the affirmative the Grand Supreme Ruler elect knelt and received the
benefit of prayer given by the Grand Chaplain.
The Grand Supreme Ruler elect recited his obligation. The Installing Officer proceeded to
invest M.Wy.Bro. Clement with the collarette, jewel and sash of Grand Supreme Ruler. He

had the pleasure and privilege of working with him again in this Order as his Grand Director of
Ceremonies. It means a great deal personally to me that you were able to install me today into
this high office and I know that I can always rely on you for your wise counsel, sound advice
and, most importantly for your friendship.
The Past Grand Supreme Ruler responded with the following words:
Thank you, Grand Supreme Ruler for your kind words. May I wish you well for the future. I
know that you, and the Order under your leadership, will prosper greatly. Finally, when I took
up fell-walking and climbing in the Lake District four years ago, I obviously had to aim high,

16. AUDITORS FOR GRAND CONCLAVE
The President of the Executive Committee, under Rule 13 of the Constitutions and Regulations,
proposed that Crowe Clark Whitehill, LLP, Chartered Accountants and Registered Auditors,
be appointed as auditors for Grand Conclave. The proposition was seconded by the Acting
Grand Recorder and carried.

18. ADDRESS BY THE MOST WORTHY GRAND SUPREME RULER
The Grand Supreme Ruler addressed Grand Conclave as follows:
Brethren, you have been extremely patient this afternoon in sitting through a considerably
longer meeting of Grand Conclave than is usual and I promise that I will not detain you very

much longer on this occasion. I want to thank you all for the support and encouragement
you have given me since my nomination was announced, and pledge to you all that I will do
everything in my power to serve you, and the Order to the best of my abilities in the years that
lie ahead.
I also want to add my personal congratulations to everyone who received honours this
afternoon, particularly those who became Grand Officers for the first time. It was 25 years
ago when I received my first Grand appointment in this Order, and I remember it as if it were
yesterday, and I do know how elated you feel at this time, and I trust that this recognition
of your past services will inspire you to even further commitment to the Order and to your
Conclaves.
We have been blessed today by the presence of a goodly number of Brethren from our own
Constitution from Districts and Conclaves Overseas, who have made long journeys to be
with us. Also we are honoured in having the rulers of other Masonic Orders amongst us. I

I now have a very delightful and special duty to undertake and that is to present a Brother with
his Jewel on completing 50 years as a member of the Order. V.Wy.Bro. William Michael Cox
was inducted into Southport Conclave No.159 and after serving as Supreme Ruler held several
offices in the Province. In 1982 he was appointed P.A.G.D.C., promoted in 1988 to P.G.V.
and again in 2002 to P.G.Reg. Brother Grand Director of Ceremonies will you please conduct
V.Wy.Bro. Cox to me.
Brother Michael, it gives me great pleasure to present you with your jewel which is undoubtedly
the rarest and most exclusive Breast jewel we have in this Order. This commemorates your
50 years membership and I know all the Brethren present would join me in the hope that you
have many happy years wearing that jewel with pride and satisfaction and in addition to that I
am sure they would all be extremely pleased to see you further promoted to Past Grand Guide,
which I now confer on you.
The Order of the Secret Monitor, or Brotherhood of David and Jonathan has been close to my
heart since becoming a member over 30 years ago. It really is a very special Order and the
thing that sets it apart above all is the character of the Brethren who support it. Remember,
Brethren, you and I are not just Freemasons, no, not at all, we are Secret Monitors.
Thank you all for your attention, a good piece of flesh and a flagon of wine await.

6. Grand Honours
The Most Worthy Grand Supreme Ruler has ruled that 30th April is the latest date by
which recommendations for Grand Honours can be received by the Grand Recorder.
Deaths, resignations and changes of address of Grand Officers must be notified to the
Grand Recorder as soon as possible.

Report of the Grand Guide
to Grand Conclave 2013-2014
Most Worthy Grand Supreme Ruler and Brethren, I have much pleasure in presenting my
second report as Grand Guide.
I am delighted to report that during the past twelve months all Provinces have received one or
two visits by a Grand Visitor. A visit has also been paid to the unattached Conclave on the Isle of
Man. With the exception of a small number of units and those newly consecrated, all Conclaves in
the British Isles and those in Europe which are unattached have been visited since the beginning of
2009. The schedule of visits has now been regularised and hopefully the need for multiple visits
to Provinces is a thing of the past.
I must thank all the Grand Visitors, Very Worthy Bros. Tom Auber, Ron Bridger, Eric Bourne
and Colin Hume for their considerable efforts during the past year. As is always the case with
this particular office, they have travelled the length and breadth of the Country, doing so with
great keenness and interest in the wellbeing of the Conclaves they have attended. Their reports
have been both informative and insightful, which is only to be expected from Brethren so senior
in many Orders of Freemasonry. All forty-eight planned visits have been made since the last
meeting of Grand Conclave, although a few have required rescheduling. On one occasion, a Grand
Visitor, who shall remain nameless, was so anxious to make his meeting, he filled up his diesel
car with petrol. Unfortunately this only resulted in a postponed visit and a hefty bill! With regard
to the topic of arranging visits, it would be beneficial if Provinces could ensure that the dates and
meeting places of their Conclaves in the O.S.M. Yearbook are up to date, as each year visits do
have to be rescheduled because this not the case. I would also like to express my thanks to the
Provincial Grand Supreme Rulers for their agreement to the visits together with the Provincial
Grand Recorders and Conclave Secretaries for making the necessary arrangements. It is evident
that the Grand Visitors have always received detailed assistance in planning their trips and in
some cases transport to and from their accommodation on the day. Their reception by Conclave
members and Provincial delegations was in accordance with the precepts of the Friendly Order.
Attendances at meetings have remained similar to last year with the highest recorded at fortytwo on two occasions and the lowest at fifteen again on two visits. To qualify though, on the
three occasions attendances exceeded forty Brethren, visitors including Provincial delegations
accounted for twenty-four, twenty-one and fifteen attendees. One of the lowest attendances was
due in part to a rearranged date and venue. Overall the attendance figure has averaged out at
around twenty-seven per meeting. The average number of visitors recorded was just over ten. A
more important statistic though was that the average number of members attending was sixty per
cent with the highest of eighty-two per cent. The highest number of members at a meeting was
thirty and the lowest just eight.
The Grand Visitors have reported that there has been very little use of books by regular
Conclave Officers and that on a high percentage of occasions the Supreme Ruler performed
the ceremony, although when required, senior members were on hand to assist with addresses,
lectures and the Weapons, always to a very high standard. Excellent ritual and floor work
were particularly evident in those Conclaves, which had rehearsed beforehand. Unfortunately,
there were still isolated cases where the ceremonies were entirely read and this continues to be
a disappointment. The majority of ceremonies were scored between seven and nine out of ten.
There were two ten out of tens. As the Grand Visitor commented on one of these, An excellent
ceremony from start to finish. The Supreme Ruler well supported by junior and senior brethren.
The day was a perfect example of the Brotherhood of David and Jonathan! The lowest scores
were two five out of tens. I commented in my report last year that one Supreme Ruler had used an
I-Pad as an aide-memoire. Again this year one Supreme Ruler worked exclusively from a tablet,
although this was in what is known as the Internet Conclave!
Again, the Grand Visitors witnessed ceremonies on the majority of their visits with the first
and second degrees performed in equal numbers, generally for one or two candidates. Otherwise
rehearsals were performed and on one occasion a talk on the Scarlet Cord. It was pleasing to
note that one inductee had joined the Order as a result of one of the Friendship Meetings I
mentioned last year. These are meetings where local members of the Craft are invited to receive a
presentation on the Secret Monitor and take part in a question and answer session. Hopefully, this

and the other initiatives Provinces are making will continue to bear fruit. On a charitable front, it
was reported that one Province in the South West is successfully selling yellow socks to be worn at
Secret Monitor meetings to boost funds for their chosen appeal. Probably not a good idea to copy
this initiative with the Robin Hood hat presented to a Grand Visitor on his trip to Nottingham!
The attendance of Visiting Deacons and the performance of their duties is always a subject
of much debate. During the past year the average attendance of Visiting Deacons has been sixty
five per cent, a definite improvement over last year. All four were in attendance on only seven
occasions, however I can confirm that reports on the welfare of absent Brethren were in most
cases adequately covered. I feel that the introduction of printed instructions for Visiting Deacons
outlining their duties is still an initiative that should be actively pursued. In addition, Conclave
Scroll Bearers should be constantly reminded that their responsibilities extend to ensuring the
Visiting Deacons perform their duties prior to a meeting and do their upmost to attend on the day.
Calling the Muster Roll is not the extent of their involvement!
In conclusion, it is heartening to see from the reports of the Grand Visitors and also those
submitted by the Provincial Grand Guides that our Order continues to be great source of
enjoyment to its members. All of the Grand Visitors emphasised time after time the wonderful
atmosphere at the meetings they attended and how much the candidates enjoyed the occasion,
even when the ceremony had not been quite up to scratch. One inductee regretted not joining years
ago! This all bodes well for the future.

We have audited the financial statements of The Order of the Secret Monitor General Fund for the year ended 31
August 2013 set out on pages 27 to 29. The financial reporting framework that has been applied in their
preparation is applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted
Accounting Practice).
This report is made solely to the members, as a body. Our audit work has been undertaken so that we might
state to the members those matters we are required to state to them in an auditors report and for no other
purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than
The Order of the Secret Monitor and the members as a body, for our audit work, for this report, or for the opinion
we have formed.
Respective responsibilities of Executive Committee and auditor
The Executive Committee has control and management of all the property and the finances of The Order of the
Secret Monitor including the preparation of the financial statements in accordance with applicable law and United
Kingdom Accounting Standards. The Constitutions of The Order of the Secret Monitor do not contain any
detailed requirements as to the form and contents of the financial statements or accounting records, other than
requiring them to be audited by a professional auditor. The Executive Committee selects suitable accounting
policies and then applies them on a consistent basis, making judgements and accounting estimates that are
reasonable and prudent, and the financial statements are prepared on a going concern basis.
Our responsibility is to audit and express an opinion on the financial statements in accordance with applicable
law and International Standards on Auditing (UK and Ireland). Those standards require us to comply with the
Auditing Practices Boards Ethical Standards for Auditors.
Scope of the audit of the financial statements
An audit involves obtaining evidence about the amounts and disclosures in the financial statements sufficient to
give reasonable assurance that the financial statements are free from material misstatement, whether caused by
fraud or error. This includes an assessment of: whether the accounting policies are appropriate to the
circumstances of The Order of the Secret Monitor General Fund and have been consistently applied and
adequately disclosed; the reasonableness of significant accounting estimates made by the Executive Committee;
and the overall presentation of the financial statements.
In addition, we read all the financial and non-financial information in the Executive Committee Report to identify
material inconsistencies with the audited financial statements and to identify any information that is apparently
materially incorrect based on, or materially inconsistent with, the knowledge acquired by us in the course of
performing the audit. If we become aware of any apparent material misstatements or inconsistencies we
consider the implications for our report.

In our opinion the financial statements:

CONSTITUTIONS AND OBJECTS
The Benevolent Fund is set up with the objects of making payments of grants to the needy and
making charitable grants for purposes specifically sanctioned by Grand Conclave.
The Order of the Secret Monitor Fund of Benevolence is governed by both statute (Charities Act
2011) and the Constitutions and Regulations of The Order of the Secret Monitor dated 1 November
1960.
The Trustees confirm that they have complied with the duty in section 17 of the Charities Act 2011 to
have due regard to the guidance issued by the Charity Commission on public benefit.
GRANT MAKING POLICY
The payments of grants are made to the needy and for such other charitable purposes as specifically
sanctioned by Grand Conclave.
RESERVES POLICY
At 31 August 2013, the free reserves amounted to 584,105 (2012 521,004). The Trustees
believe that the level of reserves should provide a safety net for downturns in the market as well as
building up for large donations in the future. However, the Trustees are aware that the reserves are
high and are continuing to review the level held.
The Trustees consider that there are sufficient reserves held at 31 August 2013 to manage any
foreseeable downturn in the UK economy. The Trustees consider that there is a reasonable
expectation that the charity has adequate resources to continue in operational existence for the
foreseeable future and, for this reason, the Trustees continue to adopt the going concern basis in
preparing the financial statements.

INVESTMENT POWERS
Investment powers are set out and operated within the provisions of the Trustee Act 2000. The
investments are managed by the Investment Committee, who are advised by Investec Wealth &
Investment Limited.
INVESTMENT POLICY AND PERFORMANCE
The policy of the trust deed is to provide grants in relief of need for members and their dependants
and, from time to time, to make grants to worthy causes. The sources of income for the fund are
donations from the members and any investment income (including capital gains).
In accordance with these aims, the funds are managed by Investec Wealth & Investment Limited.
The Investment Committee, appointed by the Trustees, reviews the funds on a regular basis.
Changes are made to the investments held on the basis of seeking to maintain the existing funds and
to increase them so far as possible. The intention is to invest in securities, which are likely to increase
in value (including providing increased dividends), rather than by any other criteria.
ACTIVITIES
The amount of grants paid in the year to 31 August 2013 amounted to 58,079 (2012: 21,085).
TRUSTEES RESPONSIBILITIES
The Trustees are responsible for preparing the Trustees Report and the financial statements in
accordance with applicable law and regulations.
Charity law requires the Trustees to prepare financial statements for each financial year in
accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom
Accounting Standards) and applicable law.
Under charity law the Trustees must not approve the financial statements unless they are satisfied
that they give a true and fair view of the state of affairs of the charity and of its net incoming/outgoing
resources for that period. In preparing these financial statements, the Trustees are required to:

select suitable accounting policies and then apply them consistently;

observe the methods and principles in the Charities SORP;

make judgments and estimates that are reasonable and prudent;

prepare the financial statements on the going concern basis unless it is inappropriate to
presume that the charity will continue to operate.

The Trustees are responsible for keeping adequate accounting records that are sufficient to show and
explain the charitys transactions and disclose with reasonable accuracy at any time the financial
position of the charity and enable them to ensure that the financial statements comply with the
Charities Act 2011, the Charity (Accounts and Reports) Regulations 2008 and the provisions of the
charitys constitution. They are also responsible for safeguarding the assets of the charity and hence
for taking reasonable steps for the prevention and detection of fraud and other irregularities.

1.

ACCOUNTING POLICIES
(a)

Basis of Accounting
The financial statements are prepared under the historical cost convention modified by
the revaluation of fixed asset investments and in accordance with the Charities Act 2011,
the Statement of Recommended Practice, Accounting and Reporting by Charities
(Charities SORP 2005) and applicable Accounting Standards. They are prepared on a
going concern basis as discussed in the Reserves Policy section of the Trustees Report
on page 2.

(b)

Investments
Fixed asset investments are revalued to market value at the balance sheet date and the
surplus or deficit of this revaluation is shown as unrealised gains or losses on the face of
the Statement of Financial Activities.
The differences between the carrying value (or cost if acquired in the year) and the
proceeds of investments disposed of are shown as realised investment gains or losses in
the Statement of Financial Activities.

(c)

Incoming Resources
Donations are accounted for on a receipts basis. Income from investments and bank
interest is recognised on an accruals basis.

(d)

Resources Expended
Expenditure is accounted for on an accruals basis. Charitable expenditure represents
payments of grants. Governance costs represent the costs of the statutory running of
the charity.
