LICENSE AGREEMENT
PCTEL agrees to license the Software to Buyer (who may also be referred to as Licensee) only on the terms
contained in the Terms and Conditions, including Exhibit A, License Agreement.. By using the Software, Licensee
acknowledges that Licensee has read the Terms and Conditions, including this Exhibit A, understands them and
agrees to be bound thereby.
I.
GRANT OF LICENSE: PCTEL grants to Licensee a personal, non-exclusive, non-transferable right to
install and use the Software in machine-readable form within the geographic area for which the Product was
licensed as indicated on the face of the Quotation sent to Licensee by PCTEL, subject to the conditions set forth
below.
II.
CONDITIONS OF USE: Any use of the Software other than as expressly permitted by the Terms and
Conditions, including this Exhibit A, is strictly prohibited and will be deemed a breach of this instrument.

If Licensee purchases an individual user license, Licensee shall use the Software on a single
computer for use by a single individual;
If Licensee purchases a single site license, Licensee shall install and use the Software on one
server at a single site location;
If Licensee purchases an additional single site license, Licensee may install or use the Software at
a different or additional location;
If Licensee purchases a global license, Licensee may install or use the Software at all of its
business locations.

Licensee shall use the Software only for Licensees internal business purposes. Licensee may not transfer, copy,
download, or in any way install or use the Software at a different or additional location. Only employees or agents
of Licensee may use the Software. Licensee shall take all necessary steps to insure that its employees and agents
abide by the Terms and Conditions, including this Exhibit A.
Licensee shall not copy, distribute, sublicense, modify, adapt, reverse engineer, prepare derivative works of,
decompile or disassemble the Software of any portion thereof for any reason, nor merge the Software with other
software, except that Licensee may make one copy for backup or archival purposes. With respect to the backup
copy, Licensee agrees to reproduce any PCTEL copyright notice or other proprietary legends appearing thereon.
Licensee shall not remove, destroy, or alter any proprietary markings or legends placed upon or contained within
the Software, related materials or documentation. Licensee shall not export, re-export, resell, ship or divert the
Software or cause the Software to be exported, re-exported, resold, shipped or diverted, directly or indirectly.
III.
NO RIGHT TO USE PCTELs NAME: Licensee shall not use any trademark of PCTEL, or any word or
symbol likely to be confused with any PCTEL trademark, either alone or in any combination with another word or
words without the express written consent of PCTEL.
IV.
PAYMENT: The rights granted to Licensee hereunder are contingent upon payment to PCTEL for the
Software.
V.
TERM AND TERMINATION: Licensees right to use Software will begin when Licensee first uses the
Software, which constitutes acceptance of the Terms and Conditions, including this Exhibit A, and will continue in
perpetuity unless terminated as follows. Licensees right to use Software will terminate immediately and without
notice upon a breach of the Terms and Conditions, including this Exhibit A, by Licensee. Otherwise, Licensees
right to use may be terminated by either party upon thirty (30) days prior written notice. Within thirty (30) days
following termination, Licensee will certify to PCTEL in writing that the original of the Software and all copies, in
whole or in part, in any form, and all related materials and documentation, have been destroyed.
