Introduction
MembersoftheBoardofDirectorsofKivaMicrofunds(Kiva),officersandkeyemployeesmustactat
alltimesinthebestinterestsofKiva.MembersoftheBoard,officersandkeyemployeesshalldisclose
allpotentialandactualconflictsofinteresttotheBoardofDirectorsand,asrequired,remove
themselvesfromalldiscussionandvotingonanyrelatedmatter.

Disclosure
TheBoardofDirectorsrecognizesthatconflictsofinterestmayoccur,andthatnotallconflictsof
interestarenecessarilyharmfultoKiva.However,theBoardrequiresfulldisclosureof
allactualandpotentialconflictsofinterest.EachmemberoftheBoard,officerandkeyemployeeshall
discloseanyandallfactsthatmaybeconstruedasaconflictofinterest,boththroughanannual
disclosureprocessandwheneversuchactualorpotentialconflictoccurs.

Processandremedy

TheBoardofDirectorswilldeterminewhetherornotaconflictofinterestexists,andwhetherornot
suchconflictmateriallyandadverselyaffectstheinterestsofKiva.AmemberoftheBoard,officerorkey
employeewhosepotentialconflictisunderreviewmaynotdebate,vote,orotherwiseparticipatein
suchdetermination.IftheBoardofDirectorsdeterminesthatanactualorpotentialconflictofinterest
doesexist,theBoardshallalsodetermineanappropriateremedy.Suchremedymayinclude,for
example,therecusaloftheconflictedindividualfromparticipatingincertainmatterspendingbeforethe
BoardorotherKivabody.

Specifically,membersoftheBoard,officersandkeyemployeesshall:

AvoidplacingselfinterestortheinterestsofathirdpartyabovetheinterestsofKiva,andavoid
theappearanceofplacingselfinterestortheinterestsofathirdpartyabovetheinterestsof
Kiva;

RefrainfromusingKivasstaff,services,equipment,materials,resources,orpropertyfor
personalorthirdpartygain,andfromrepresentingtothirdpartiesthatauthorityasaBoard
memberextendsanyfurtherthanthatwhichitactuallyextends;

NotengageinanyoutsideactivitiesthatmaybeadversetotheinterestsofKiva;

Notsolicitoracceptgifts,gratuities,freetravel,oranyotheritemofvaluefromanypersonor
entityasadirectorindirectinducementtoprovidespecialtreatmentwithrespecttomatters
pertainingtoKivawithoutfullydisclosingsuchanexchangetotheBoardofDirectors;

ProvidegoodsorservicestoKivaasapaidvendortoKivaonlyafterfulldisclosureto,and
advanceapprovalby,theBoardofDirectors,andpursuanttoanyrelatedproceduresadopted
bytheBoard;

NotpersuadeanyemployeeofKivatoleavetheemployofKivaortobecomeemployedbyany
personorentityotherthanKiva;and

Notpersuadeorattempttopersuadeanydonor,lender,supplier,contractor,oranyother
personorentitywithanactualorpotentialrelationshipwithKivatoterminate,curtail,ornot
enterintoitsrelationshipwithKiva,ortoreduceanybenefitthatmaybeprovidedtoKivawith
respecttosuchrelationship.

ThispolicyshallapplytothemembersoftheKivaBoardofDirectors,butalsoshallapplytoall
membersofKivacommittees,taskforces,andothersintheKivagovernancestructure,aswellasto
Kivaskeyemployees.

Onanannualbasis,allindividualstowhomthispolicyshallapplyshallbeprovidedwithacopyofthis
policyandrequiredtocompleteandsignanacknowledgementanddisclosureformpreparedbythe
BoardofDirectors.
Kivareservestherighttoamend,alterandterminatethispolicyatanytime.

thisform,oriftheinformationprovidedbelowbecomesinaccurateorincomplete,Iwillpromptlynotify
theKivaBoardofDirectorsortheChiefExecutiveOfficerofKivainwriting.
