ACCOUNT AGREEMENT

You, being the Recipient identified below, hereby agree to the terms of this Agreement in
connection with and in consideration of our providing to you World Kitchen Information (as defined below)
with respect to World Kitchen, LLC (World Kitchen) or any affiliates of World Kitchen. You agree that any
and all World Kitchen Information is intended solely for your limited use in connection with evaluating a
possible purchase of World Kitchen products (and any resulting commercial relationship between you and
World Kitchen).

You agree that the pricing information regarding World Kitchen products, and all other non-public
information regarding the business of World Kitchen or any of its affiliates (collectively, the World Kitchen
Information) that World Kitchen provides to you or that you otherwise obtain is confidential, proprietary and
owned exclusively by World Kitchen, and further agree to hold and treat it in the strictest of confidence. You
agree to share World Kitchen Information only with those of your employees, directors, agents and
representatives (collectively, Recipient Representatives) with a need to know of same to enable you to
accomplish the Purpose. You agree that you will not, and to cause the Recipient Representatives to not,
directly or indirectly, disclose the World Kitchen Information to any other person, firm or entity, without prior
written authorization of World Kitchen. You further agree that you will not, and agree to cause the Recipient
Representatives to not, duplicate, photocopy or otherwise reproduce the World Kitchen Information, in whole
or in part, or otherwise use or permit it to be used in any fashion or manner detrimental to the interest of
World Kitchen. You agree to return to World Kitchen or destroy any and all World Kitchen Information
received by you promptly upon and in accordance with World Kitchens request to do so.

You acknowledge that there is no obligation on World Kitchens part to enter into any business
relationship with you. You also acknowledge that World Kitchen makes no warranty as to the accuracy or
completeness of World Kitchen Information provided to you from time to time. Furthermore, you
acknowledge that World Kitchen has the authority to modify its prices from time to time and, accordingly,
there is no assurance that the pricing information (or other World Kitchen Information) shall remain in effect
as received by you for any period of time. You further agree that you will not trans-ship outside of the United
States or Canada any products you purchase from World Kitchen from time to time, or distribute any such
products for final sale (or to any third party who would further distribute such products for sale) outside of the
United States or Canada.
You agree to indemnify and hold harmless World Kitchen, and their respective affiliates,
subsidiaries, employees, directors, managers, equity holders, agents and representatives (collectively, the
World Kitchen Indemnitees) from any and all loss or damage that it or they may suffer, including, without
limitation, any enforcement cost it or they may incur, as a result of your breach (including as a result of the
action or failure to act by any Recipient Representative) of the terms and conditions of this Agreement. You
further acknowledge that the World Kitchen Indemnitees may pursue any and all rights available at law and in
equity in the event of your breach of this Agreement, including, without limitation, the granting of an
injunction. This Agreement shall be governed by the internal laws of the State of Illinois.
This Agreement shall terminate on the last to occur of the fifth anniversary of the date hereof and the
date that is two years from the last shipment date from World Kitchen to Recipient or Recipients desigee the
course of their commercial relationship.
