DEED OF EXCHANGE

KNOW ALL MEN BY THESE PRESENTS:


This Deed of Exchange entered into this __ day of January, 2015 in the City of
Tagaytay by and between:
Enrique C. Cuadra, Filipino, of legal age, married, and a
resident of 1522 A. Pedro Gil Street, Paco, Manila,
hereinafter referred to as the FIRST PARTY
- and Elpidio M. Dimapilis, Filipino, of legal age, married, and a
resident of Anuling Lejos 1, Mendez, Cavite, hereinafter
referred to as the SECOND PARTY

WITNESSETH THAT:
WHEREAS, the FIRST PARTY is the owner of a parcel of land consisting of about
nine thousand eight hundred sixty six square meters bounded on the North by 01 (xxx
xx. xxxx), on the East by 02 (xxx xx. xxxx), on the South by a dry creek, and on the west
by 04 (xxx xx. xxxx);
WHEREAS, the SECOND PARTY is the owner of a parcel of land consisting of
about fourteen thousand six hundred sixty two square meters bounded on the North by
32 (xxx xxxx xxxx xx, xxx. xxx), on the East by a creek, on the south by 03 (xxx xxxx), 02
(xxx xxxx) and on the West by 32 (xxx xxxx, xxxx xx, xxx. xxx);
WHEREAS, the property of the FIRST PARTY described above is without any
access to the existing road, being blocked therefrom by the property of the SECOND
PARTY described above;
NOW, THEREFORE, for and in consideration of the foregoing premises and the
covenants and agreements hereinafter set forth, the parties hereto have agreed upon the
following terms and conditions:

The SECOND PARTY will provide the FIRST PARTY with two hundred
fifty five square meters as the FIRST PARTYs access to the existing road, in accordance
with the plan of land, a copy of which is attached hereto, and made an integral part
hereof, as Annex A. By virtue of this Deed, the said area shall belong to, and become
the property of, the FIRST PARTY.
2.
In exchange therefor and for the SECOND PARTYs faithful cultivation of
the land for the FIRST PARTY and his privies, the FIRST PARTY shall provide the
SECOND PARTY with an area of five hundred ten square meters, in accordance with the
attached plan of land, a copy of which is attached hereto, and made an integral part

hereof, as Annex B. By virtue of this Deed, the said area shall belong to, and become
the property of, the SECOND PARTY.
3.
By the execution of this Deed, each party acknowledges that all of their
claims and causes of actions arising in law and equity against the other are hereby
waived.
IN WITNESS WHEREOF, we have hereunto set our hand on these presents this
__ day of January 2015 in the City of Tagaytay.
