PERMISSION AGREEMENT

Kent Nguyen (Licensor) and Brandon Hancock (Licensee) hereby enter into a
Permission Agreement dated 25th February 2015 whereby Licensor will allow Licensee
use, publish, edit, distribute and monetize all work(s) found at the following location(s)
on YouTube:
http://www.youtube.com/KenDuchamp
Licensor agrees that they are the sole copyright owner of all work(s) provided under this
permission agreement and give Licensee full permission to use, publish, edit, distribute
and monetize said work(s) at the following location(s) on YouTube:
http://www.youtube.com/channel/UCVYe3kt3KVSLsvP0acRbxWA (URL subject to
change) And any YouTube channels owned by the Licensee.
The above referenced works can be found over the Internet on YouTube at
http://www.youtube.com/KenDuchamp. The above referenced works are offered in two
forms: YouTube video downloaded directly from YouTube OR video format file sent by
the Licensor.
The intent of this license agreement is to allow the Licensee the right to distribute,
publish, use, edit and monetize the work(s) referenced above. The above referenced titled
work(s) can be distributed openly and freely on Youtube in a manner that permits access
with no form of consideration required on the part of the recipient of the titled work(s).
So long as it is limited to Youtube and so long as the Licensor is properly credited by the
Licensee.
1. Licensed Materials
This Permission Agreement applies to the above referenced works and is subject to the
terms and conditions of this Permission Agreement. This Permission Agreement
constitutes the entire agreement and supersedes any and all understandings that both
parties may have entered into.
2. License
Licensor grants Licensee the non-exclusive rights to copy and reproduce the above
referenced works in the following manner:
YouTube video uploads to any YouTube channels owned by the Licensee.
Licensor gives Licensee full non-exclusive rights to copy, alter, modify, distribute,
display, monetize or disseminate in any form the above referenced work(s) on
http://www.youtube.com
3. Use of Licensed Materials
The licensed work(s) as referenced in this Permission Agreement may be altered,
modified, changed in any manner or form by the Licensee without the express written
consent of the Licensor so long as they are only distributed via http://www.youtube.com
The Licensor can whitelist individual videos from this agreement by messaging the

Licensee on Youtube or by sending an email to censoredcartoon@gmail.com from

office@kennethduchamp.com regarding those particular work(s) BEFORE they have
been uploaded.
The Licensor agrees that they will not attempt to Content ID claim, Copyright Strike or
elsewise attempt to remove content used by the Licensee as agreed upon within this
Permission Agreement.
4. Materials
Licensor agrees to provide the Licensee with the above referenced works in a manner and
form that is suitable to the Licensee.
5. Fee
In consideration of the rights granted to the Licensee, the Licensor shall not charge a fee
provided that the Licensee furnishes the Licensor with publicity for the above referenced
works. Publicity shall include:

Attribution and acknowledgement of the Licensor as the author and source of the
works link in the video description; AND
Any other methods of attribution and acknowledgement the Licensee deems
appropriate.

6. Warranty
Licensor warrants that the referenced works in this Permission Agreement are owned and
controlled by the Licensor as an original published work protected under universal
copyright laws.
7. Interpretation
This Permission Agreement expresses the complete understanding of the Licensor and the
Licensee with respect to the subject matter and supersedes all prior representations and
understandings.
8. Term
This Permission Agreement shall be considered indefinite in length and each party has
the right to cease performance subsequent to the effective date of this agreement by
serving written notice to the Licensee via Youtube messages or via email to
censoredcartoon@gmail.com from office@kennethduchamp.com.
Any work(s) used by the Licensee within the term of this agreement will retain usage
permission in accordance to the Permission Agreement in the case that either party
involved has ceased the Permission Agreement.
9. Credit
The Licensee must credit the Licensor on every use of the Licensor's material on the
Licensee's Youtube channel both in the description with a live link to the Licensor's
channel and an annotation anytime the Licensor's material is used.
