By-Laws
Of

CORPORATION

ARTICLE I

SECTION 1 [NAME :]The Name of the Corporation shall be Church of the Living God,
Gates of Heaven, Full Gospel Ministries, Inc.

SECTION 2 [PLACE :] The Headquarter Church is located in Macon, Bibb County Ga.

SECTION 3 [SEAL :] The corporate seal shall be circular in form and have inscribed upon it,
around the edge of the words,

SECTION 4 [PURPOSE]
The Corporation is a nonprofit organization, the purpose of which is to provide spiritual guidance
and religious education and to declare the Kingdom of God io citizens of the world. These services
shall be furnished in a manner most responsive to the needs of the people.

ARTICLE II

EXECUTIVE BOARD MEMBERSHIP

SECTION 1 - MEMBERSHIP
The incorporations and members of the Corporation, as herein after provided constitutes the
Executive Board which governs, manages, and conducts the affairs of the Corporation and handles
the prudential affairs of the Ministry.

SECTION 2 - NUMBER OF MEMBERS ON THE EXECUTIVE BOARD
The membership of the Executive Board consists of not less than five (5) members of the
corporation, and shall be constructed of an Apostle, who shall chair the board, a pastor from each
church; incorporators and members of the Corporation appointed by the Apostle, who have
demonstrated interest or have special skills useful to the board.

SECTION 3 - TERMS
The term of once of the members of the Executive Board is continuous and indefinite.

SECTION 4 - ABSENCES
A. Three (3)Consecutive unexcused absences from any duly-called meeting, after having received
notice thereof constitutes a voluntary resignation, and the member shall either be reinstated by
the Apostle of the Executive boarded or his name shall be dropped from the membership roll.

B. It is the responsibility of the go-chairman of the Executive Board to keep an accurate record of
attendance and to notify the Executive Secretary (in writing) of those members who have resigned
under the provision of these By-Laws. The go-chairman shall certify as to the dates of
non-attendance and the dates the member was, in fact, notified of the meeting. The Secretary
shall notify the member in writing and he shall have a right at the next meeting to show that, in
fact, he was not absent or was not, in fact, notified of the meeting.
Members will be held accountable, regardless of whether notice is received to
be present at the meetings.

D. Except for emergencies, written notification must be received two weeks prior for those unable
to attend scheduled Executive Board Meetings.
E. A $20.00 fee will be imposed as penalty for not attending and not giving proper notification of
absences for Executive Board Meetings, except in cases of emergencies,
SECTION 5 - VACANCIES
Vacancies occurring on the Executive Board shall be filled by the Apostle, with the approval of the
Executive Board.

SECTION - VOTING
The Church of the Living God do not have voting at this time. The Apostle Essie Williams shall
have absolute voting power, and can direct any Church in any direction that the Lord leads her
that is under the Leadership of the Church of the Living God.

ARTICLE III

OFFICERS. POWERS.AND DUTIES OF THE
EXECUTIVE BOARD AND COMMITTEES

SECTION 1 OFFICERS
SECTION 1 - OFFICERS
The officers of THE CHURCH OF THE LIVING GOD are an Apostle, a CoChairman,
a Presiding Bishop, and Executive Secretary, a Recording Secretary, and a Treasurer.
These officers serve as the Executive Officers of the Corporation.
At each meeting, the Apostle submits recommendations and information as he/she may consider
proper concerning the business avails and policies of the Corporation and the Churches
The officers of the Church of the Living God Gates of Heaven Full Gospel Ministries are Apostle
Essie Williams, President, Elder James Williams, Vice President, Executive Secretary and
Treasurer, Pastor Vanester Dobbins
These officers serve as the Executive Officers of the Corporation. Each officer is subject to these
By-Laws, and have in addition to the duties and pawers herein set forth such duties and powers of
the The Church of the Living God, Gates of heaven Full Gospel Church Inc. shall from time to
time designate.

A. Apostle The Apostle or designee presides at all meetings of the Corporation and its
Executive Committees. The Apostle is an ex-officio member of all Executive Committees. The
Apostle Serves as the Chief Executive Officer of the Corporation. At each meeting, the Apostle
submits recommendations and information as he/she may consider proper concerning the
business avails and policies of the Corporation and the Churches.
The Apostle shall hold their office for life, or for as long as their lives are in fitness and in harmony
with the Word of God.
The Apostle is the Chief Executive Officer She possesses authority over all of the pastors and
churches. The home church of the Apostle shall not be assigned under a Residing Bishop. It shall
be under the Apostle's jurisdiction during the Apostle's tenure.
The Apostle shall possess and exercise the power to appoint committees, bishops, and pastors.
she will inform the Executive Board and the Ordination Committee of his appointments.
The Apostle will utilize the Disciplinary Handbook to issue the following disciplinary actions for
violations committed against the Body of Christ.
Be it known, the Apostle Essie Williams has the power and authority to make any crucial decisions
and render decisive judgments for this Corporation and the Churches.
B. Co-chairman - The Co-chairman serves as assistant to the Apostle.

He/she officiates in the place of the Apostle, in his/her absence.
C. Presiding Bishop - The Presiding Bishop serves as assistant to the Apostle.
D. Executive Secretary - The Executive Secretary is responsible for all secretarial and clerical
services.
E. Recording Secretary - The Recording Secretary keeps accurate minutes of all meetings for
the Executive Board and its Executive Committees.
G. Treasurer -The Treasurer is authorized, along with other officers, to cc-sign checks written
on the consent of the Executive Board. At least once a year, the treasurer shall cause the books
and records of the Corporation to be audited by a certified Public Accountant or equivalent, who
shall be selected by the Executive Board, and copies of the audit will be furnished to all members
of the Executive Board. The treasurer shall cause the books and accounts to be maintained in
accordance with the requirements of federal, state, and other governmental agencies.

SECTION 2 - THE COORDINATORS
The Coordinators of the following Departments are responsible for attending and reporting to
each Executive Board Meeting. The departments are:
Ministers, Deacons, Teachers, Mother's Board, Young Adults, Young People,
Missionaries and the Usher Board..
A. The Coordinators can not remove a Church Leader.
B. The Coordinators can recommend that a Church Leader receive a Ministerial License.
C. The Coordinators will ensure Church Leaders are trained in their specific calling.
The Coordinators will submit quarterly reports concerning their activities to their respective leader.

SECTION 3 EXECUTIVE BOARD

The Board consists of personnel as specified in Article ll. Section 2.
a. The Apostle is appointed by divine selection.
b. When classified. critical or sensitive materials or information needs to be discussed. an Executive
Session will be called with Pastors only.
c. A list of nominations for the other officers of the Board shall be prepared by the Nomination
Committee and submitted to the Board after obtaining consent from the nominee. However,
nominations may also be accepted from the floor upon consent of the nominee, may be added to
the list submitted by the Nominating Committee, and shall have a place on the ballot.
d. Lap top computers are permissible during Executive Board Meetings.
However, no copies are to be stored on hard drives. Upon completion of minutes or information
retrieved, the disks) are to be given to the Apostle to be filed.
e. The Executive Board shall also meet upon the call of the Apostle or upon written request of the
Co-chairman, Presiding Bishop or Executive Secretary.
f. The Executive Board holds at least six (6) meetings during each calendar year, and such meetings
are held on the fourth Saturday of every other month. Scheduled monthly meetings are January,
March, May, July, September and November.
I. The Executive Board will pay a user fee to the Church that will host Campmeeting and Holy
Convocation, and Conferences. A Committee will be formed to make assessment of the condition
of the chosen Church prior to Campmeeting or Holy Convocation. Acer Campmeeting or Holy
Convocation, if any damages has occurred at the chosen Church, the Executive Board will pay up
to $1,000.00 for the use of the Church, not including repairs.

SECTION 4 POWERS AND DUTIES OF THE EXECUTIVE BOARD PURPOSE AND POWER
-The powers of the Executive Board is to implement and effectuate the purposes for which the
Corporation was organized and discharge their duties in good faith with a view to the interest of

the Corporation. Such powers include, but shall not be limited to the following: A. Establish and
operate churches and activities of any kind and nature to put into effect the purposes for which
the Corporation was formed.
B. Operate within its budget appropriations and other funds at its disposal, employ personnel, and
enter into entraps for such services as it may require to effect the purposes for which the
Corporation is formed.
C. Adopt rules and regulations for the conduct of the Corporation's business and establish policies
controlling the activities entered into by the Corporation, its agents and servants.
DUTIES-The duties of the Executive Board are to implant and effectuate the purposes for which
the Corporation was organized and discharge their duties in good faith with a view to the interest
of the Corporation.
A. All chairmen of regular and special committees are approved by the Executive Board.
B. All activities shall employ the necessary personnel as required to implement them as
determined by the Executive Board, with the Board having overall responsibility for personnel
policies and refinements.
C. Al1 funds received by the Corporation shall be approved for expenditure by the Executive
Board. All expenditures of funds shall be by bank check and each check cc-signed by the treasurer
and another officer of the Corporation. A1l officers and employees of the Corporation shall be
bonded. The receipts, expenditures and accounting of all funds shall be in strict accountancy with
business principles. The financial director will submit a budget with the yearly expenditures once
annually.
D. Corporation or Ministry functions take precedence over all Services. An Executive Board
Calendar shall be prepared, reviewed and adopted annually, at the end of the fiscal year.
ADDITIONAL POWER -The Executive Board has 50% power to initiate policy decisions and no
activity may become effective without affirmative action by the Executive Board. The Executive
Board has power to initiate or ratify the appointment of officers, committee members, and key
staff-members.
SECTION 5--COMMITTEES

The Apostle shall be an ex-officio member of all committees and shall be notified of all committee
meetings.

EXECUTIVE COMMITTEE-The Executive Committee is composed of the officers of the Coloration
and the chairman of all Standing Committees. All actions of the Executive Committee shall be
subbed to the approval, revision or alteration of the Executive Board. All meetings of the Executive
Committee shall be called upon on at least a twenty-four (24) hour notice.

GRIEVANCE COMMITTEE-. E-ne Grievance Committee will handle all minor complaints brought
to the Grievance Committee by any member of The Church of The Living God. This Committee will
review and make suggestions to the Executive Board in order to resolve any minor complaints.
make recommendations with respect to the job performance of employees and will receive,
evaluate and act upon all grievances submitted to the Corporation

FINANCE COMMITTEE -The Finance Committee will evaluate all suggestions to secure funds for
the Corporation and recommend to the Board those considered for appropriate actions. The
Committee shall review, with the privilege of making recommendations. the financial statements
of the Evangelist Team, each Church or activity and report to the Board.

PLANNING COMMITTEE - The Planning Committee will assist in planning and designing
programs and activities that will implement the goals and purposes of the Church of the Living
God. The Committee will plan the agenda for each meeting which will be included with the notices

of the meeting.

ORDINATION COMMITTEE- The Ordination Committee is comprised of the Apostle, or Bishop
and Pastors of this Corporation. After completing the nomination process, and being qualified for
ordination, the committee will ordain all bishops, pastors, prophets, evangelists, ministers,
missionaries, deacons, mothers, teachers, and those receiving exhorter cards.
ARTICLE IV
CHURCHES AND ACTIVITIES
SECTION 1 - CHURCHES
There should be established, wherever the Executive Board so desires (locally, nationally,
internationally), places where worship services and fellowship can be conducted. When the
churches are established by the outreach arum of the Executive Board and/or the Evangelist Team,
they must be granted a charter establishing them as an integral part of the Corporation.
Each Church will have their own, official letterhead or stationary.


A. PASTORS - The pastor of each church will be ordained and appointed by the Apostle. Pastors
must attend continuous education or ongoing courses which shall be taught by the Apostle or
appointed instructors, and/or an accredited higher education institution.
The Christian Ministers Manual is the official Manual to be used by Pastors for correct and unified
procedures for Baptism, Weddings, and Funerals, etc.
The Pastor is the head of the Local Church and shall have general oversight and supervision of
that Church.
The Pastor has the right to appoint or remove officers of the Local Church, and to administer his
office in accordance with the ByLaws and Standards of the Church of the Living God Corparation.
The Pastor is responsible for the spiritual guidance of the th's Church.
The Pastor is responsible for making sure that the directives passed by the Apostle and/or the
Executive Board are carried out.
B. ASSISTANT PASTORS - Assistant
pastors of each church will be ordained of the pastor. The assistant pastor must attend continuous
education or ongoing courses which shall be taught by the Apostle or appointed instructorsa
and/or an accredited higher education institution.
C. MINISTERS A11 other ministers will be ordained by the Apostle with recommendation of
his/her pastor. Ministers must attend continuous education or ongoing courses which shall be
taught by the Apostle or appointed instructors, and/or an accredited higher education institution.
D. CARDS & LICENSES All cards and licenses will be issued by the Ordination Committee of the
Executive Board. The prerequisite of receiving licenses and cards are as follows: by the Apostle
with the recommendation 1 Pastor's recommendation's 2. Mandatory Training Sessions
attendance and participations 3. Good and regular standings at local church.
The signature of the Apostle and the Pastor is required on each of card and license. The cards shall
be renewed every other year, during General Assembly.
Any person holding a card or license must be a leader in all things, including finances! You must
function financially as well as spiritually.
Should Disciplinary Actions occur, licenses and cards can be revoked by the Apostle. Warnings.
suspensions and revocations are also possible from the Pastor.
In the event of revocation of a license, the pastor will be responsible for regaining the cards and
licenses and returning them to the Ordination Committee of the Executive Board.

E. FINANCE -
1. One tenth (1/10). of all funds collected by each Executive Board monthly.
2. A $50.00 late charge will be imposed upon church will be forwarded to

the any Church paying their Executive Board tithes late.
3. Financial Records are to be submitted at every Executive Board Meeting.
4. A $50.00 late charge will be imposed upon any Church turning their Financial Records in late.
Our fiscal year ends October 31* Financial Records should be received on or before the second
Thursday of November
Fifth Sunday Fellowship Service Offerings shall be divided. One half of the offering remain at the
hosting Church and the other half of the offering goes to the Executive Board.
Three Step Disciplinary Procedure for Pastors who fail to meet the financial obligations set forth
by the Executive Board: a. Oral Reprimand - The Apostle or Bishop will meet with the Pastor in
question. He/she will make the Pastor aware of the negligence. He/she will also remind the Pastor
of the financial obligations set forth by the Executive Board.
Written Reprimand
The Apostle or Bishop will submit a written document to the Pastor in question and the Executive
Board describing the negligence of the Pastor. The Pastor will also be warned that any further
negligence will result in suspension of their Pastoral license and duties.
c. Suspension - The Apostle or Bishop will inform the Pastor in question that they are suspended
from their Pastoral duties for not less than six months.
F. PURCHASING OR RENTAL AGREEMENTS - The Pastors will check with the Executive Board prior
to purchasing or signing a rental agreement. Two Board Members will go and inspect the building
before signing any agreements. These two will be appointed by the Board.
G. MEMBERSHIP - Corporation accepts persons for membership regardless of race, color or
national origin. However, all Biblical principles must be satisfied.
No member shall have membership at more than one Church. They must be enrolled at one
Church, giving faithful attendance: tithes and offerings to that Church. lf health permits, all
members should become active ln some auxiliary in the home Church.
Temporary absenteeism from the home Church will not result in loss of membership. However,
while absent. tithes and offerings should be forwarded to your home Church.
No status should leave his/her home Church member, regardless of church without notifying the
Pastor.
Parents should have their children Christened or Dedicated to the Lord at an early age. A
Certificate of Dedication will be given at that time. It is the parents responsibilities to rear their
child/children in the Word of God. The Church has Sunday School and the Young People
Department to help in the nurturing of your children to lead them to an understanding of the
Church and to a personal commitment to Christ, Salvation is personal, which means everyone
must have the ability to believe in Jesus Christ as his/her personal Savior.
Young People coming of age, eighteen (18), must decide if he/she wants to continue their
Membership with the The Church of the living God. At 18, he/she has come of age and are able
to speak for themselves. They still must comply with the Bible, rules and regulations, Standards
and ByLaws of this Ministry.
Any member of the The Church of the Living God may be terminated as a member by withdrawal,
transfer, death and even expulsion.
Termination by withdrawal, transfer and expulsion forfeits all rights and privileges of the Church of
the Living God.

ARTICLE V
THE CONDUCT OF MEETINGS
SECTION 1 - The Executive Board Meetings can not be taped.
SECTION 2 - A fee of $10.00 will be imposed upon those who are late for the Executive Board
Meeting. A $20.00 late fee will be imposed upon a second time late offender.

SECTION 3 - A11 meetings will be opened and closed with prayer.
SECTION 4 - A written agenda will be followed during all meetings.
SECTION 5 - The order of the Executive Board shall be as follows, but not limited to this schedule:
A. Called to Order
B. Devotions - Prayer & Scripture Reading (Chaplain) C, Roll Call (Cc-chairman) -
D. Minutes (Reading and Approval/Disapproval) by the Secretary.

SECTION 6 - LICENSING:
Everyone receiving a license from the Corporation must be in right standing.
A. The must be a member of regular attendance;.
B. They must have functioned in or with that auxiliary on a regular basis during the past year.
C. Their Departmental Dues must have been paid in full.
D. lf they are crossing over from one calling to another, they will: A. Receive an Exhorter Card.
B. Be assigned to a Licensed person in that calling and work under their tutelage for one year.
C. Regularly attend Training Sessions in that specified calling for the following reasons: 1 1. So as
to develop and maintain skills 2. For the impartation of knowledged 3. To master, with expertise
that Once! IV. lf someone has joined the Church of the Living God Ministries from another
Ministry and is licensed from that Ministry, they must: A. Relinquish that license's B. Receive an
Exhorter Card for one years C. Work under the tutelage of a Licensed person in that calling D.
Prove themselves faithful; E. Regularly attend Training Sessions in that specified calling for the
following reasons: l . So as to develop and maintain skills 2. For the impartation of knowledges 3.
To master, with expertise that Once!


ARTICLE VI
STANDARDS FOR LEADERS

SECTION 1- APOSTLE
The Apostle shall hold their office for life, or for as long as their lives are in fitness and in harmony

SECTION 2- PROPHET/PROPHETESS
The prophet is subject to the will of the Lord and the work of the church, which is the body of
Christ.
The prophets or prophetess receive their message in various ways; by visions, dreams, through
images, angels, or direct actions of God upon the mind, inspiring them and revealing to them the
needed truth It was probably the mind of the prophet that was not passive but intensively active
during revelation.
In giving the message to the ample, the prophet uses almost every known method of impressing
the truth: object, dramatic actions, vision representations vision parable, history, preaching or
warning. The fact allowed them the highest eloquence, the supreme portray. prediction and
miracle. The authority of the prophet over the people was derived from several sources; their own
character as holy, self-denying, unselfish men. Their message touched the apple's conscience
which declared that the prophets were right.

SECTION 3- EVANGELIST
An evangelist is a publisher of glad tidings. The Bible speaks of-the beautiful feet of a messenger
of glad tidings and good news. The publisher of salvation. (Is. 52:7', Ro.
10:15) Such high qualifications.

Qualifications of the Evangelist:
You must be spirit-filled, and water baptized in Jesus' name.). they must be sober minded,
settled, sincere, serious, res-trained and temperate. They must have their own personal call of
God.
They must meet the following qualifications:
1 . Be steadfast, unmovable always abounding in the work of the Lord.
2. Surrender their will to God's will and be dderrnined that nothing or no one is going to make
them back up or quit.
3. Care for the things that belong to the Lord and how they may please Him.
4. Be holy, both in body and in spirit.
5. Attend upon the Lord without distraction.
Remember, evangelism is on the Font line of the battle. You must stay in the battle and keep
your banner listed high.
Evangelists Roles in the Ministry:
The evangelist is after the apostle and prophet, and before the pastor and teacher.
(Eph. 4:1 1) His job is to proclaim the glad tidings to those who have not known them.
His job is not the pastoral care of the flock. He has a work and not an order. He can be a bishop,
deacon, or elder. An apostle can be an evangelist.

SECTION 4 - PASTOR
The pastor is given the oversight of the flock. The evangelist goes before and calls the people
together, the pastor stays behind and shepherds the flock. His job is to remain at home with the
flock at all times. No flock is never to be without the shepherd. Any pastor who neglects his
shepherd's duty is not worthy of his calling for the pastor's job is always to be with the sheep.

SECTION 5- TEACHER

A teacher must be one who has been thoroughly taught, that he may know what he is talking
about and stand firm on the Word of God.
Any teacher who teaches contrary to the Word of God, to the building of the Kingdom of God, or
tithes against the ministry in which they are a part of is an enemy of the gospel. Wherefores such
a person will be called in question by the Executive Board and asks to explain his notions. if such
a one is boastful in his doings, this person lose his license, and thus, will not be able to use the
office of teacher in the CHURCH OF THE LIVING GOD CORPORATION.

SECTION 6 - MISSIONARY
A missionary is one who goes forth as a representative of God propagating a message with a
view to make al1 convert. In the New Testament or the new covenant, we find John the Baptist
and Jesus Himself being spoken of as missionaries for they truly had been sent to proclaim the
will of God to man.
We also find in Acts, Paul and Barnabas were great missionaries of God proclaiming the will of
God to the church. These men suffered much for the gospel's sake.

SECTION 7 MOTHERS BOARD
A mother should one who can be trust to tell their troubles to and know that she will take no
further, but to God; one who listens,. observes much and talks lesser , kind-hearted and always
feeling the needs of others; with stud patience. quiet, wise and very spiritually one who is
walking upright before God and man; cleanliness godliness holiness standards. the aged not
false accusers. '' mother should never be a accusing and digging into things that are not of her
business', a mother should be holy godly woman, not a suspicious persona always being a
meddler, but she of god things: they may teach the young women to be sober,. '' the mother
must never be one who takes sides with wife or husband. There are no sides when it comes to a
wife and a husband, only God's side! It is impossible to talk to one and not the other to get
matters straight. You in never settle a thing until both get together. Teach the wife to love her
husband, and teach them to love their children.

SECTION 8 - DEACON
Deacons hold a very high position in the Church. His job is to care for the business part of the
Church. That is important so that the pastor may be able to give himself to fasting, praying and
studying the Word of God. This we are striving for.

SECTION 9 - MINISTERS
The minister must know every member of his/her congregation personally. Learn their condition
and minister to their needs. Attend Church regular, Know this word of God and preach it. Be
careful of what you hear, and even more careful of what you say.

Marriage has been defined as the lawful union of one man and one woman. The traditional form
of marriage is one of the bedrock institutions of most societies. We, therefore, affirm the
preservation of the present definition of marriage as being the legal union of one man and one
woman as husband and wife.We believe that the homosexual practices of same-sex couples are
in violation of religious and social norms. We believe that these unions are sinful and in direct
violation of the law of God in that they are a deviation from the natural use and purpose of the
body. Therefore, in spite of thegrowing legal acceptance of same-sex unions; we declare our
opposition to any deviation from traditional marriages of male and female. Notwithstanding the
rulings of the court systems of the land in support of same-sex unions; stand resolutely firm and
never allow the sanctioning of same-sex marriages by our ministers nor recognize the legitimacy
of such unions or to be perform by the Minsters in the Church of the Living God Ministries .
