PROTOTYPE PRODUCTION / MEMORANDUM OF UNDERSTANDING

Clean Energy Solutions Unlimited (CESU) and Hanson Pressure Pipe (Hanson) have tentatively
agreed to undertake a working relationship that will ultimately result in the production of an offshore
petroleum Blowout Recovery System (BRS) and an offshore natural gas Bottom Collection Unit (BCU).
It is mutually understood that in exchange for producing and selling CESU's patented BRS and BCU,
Hanson agrees to prepare a 1:12 scale, testable prototype of the BRS, Hanson also agrees to prepare and
deliver a 20x20 foot model of 48 inch surrounding pipe and a 12 foot diameter standpipe to test in
offshore Florida waters, or other waters appropriate for testing. CESU agrees to perform any necessary
design modifications, if needed. CESU is are seeking $175,000 to fund the performance testing and
evaluation of the BRS and BCU.
It is understood that following tests and proof of performance, Clean Energy Solutions Unlimited
(CESU) systems will harvest energy without releasing oil, methane and carbon dioxide into ocean
waters or the atmosphere. We have prepared several methods of harvesting natural gas to supply a
valuable fuel that does not pollute the atmosphere, and to forestall atmospheric warming. For further
information, watch the series of programs entitled "Years of Living Dangerously" airing on "Show
Time" on Sundays.
CESU holds a comprehensive patent on the offshore Blowout Recovery Systems (BRS) and
natural Gas Collector Units (GCU) technologies that the performance-tests may prove invaluable.
Arden will incorporate CESU as a Subchapter S corporation and launch a CESU marketing program.
Arden is assisted by the University of North Florida, Small Business Development Center
(UNF/SMDC), in preparing a business plan, and by Hanson Pressure Pipe, Inc. He is currently exploring
possible investments from Joseph Beck, BJ Cate, the Royal Dutch Shell "Game Changer" program and
National Science Foundation (via Daniel Christian, a West Coast affiliate).

Arden Brey - CESU Founder and Designer of the BRS. GCUs and related systems
Cindy Stewart - Marketing Specialist and Director of the Senior Center of Orange Park
Ed Boardman - Operations Organization Specialist and Permaculture Promotion
Daniel Christian - Offshore Petroleum Rigger/Environmentalist (West Coast Consultant/Affiliate)
Joe Beck - Certified Financial Specialist and Investor
Our current assets are: $250,000 (includes Patent, vehicles and equipment) and no indebtedness
Additional funding needs:* $175,000 ($150,000+ to SWRI for proof of prototype performance tests)

Anticipated CESU earnings: +/- $150,000 (15% license fee for 1 BRS sold @ $1,000,000(Estimated)
+/- $75,000 (15% license fee per 1 BCU sold @ $500,000) (Estimated)
Expected total earnings:** $200,000 (total license fees of BRS and BCUs sold in yr 1 (Estimated)

The patent value, previously estimated at $250,000, will be enhanced by positive performance
analyses and tests of the BRS model at a simulate depth of 15,840 feet, and a 80% verifiable NG
collection rate of the UNGH working prototype at an underwater depth of less than 500 feet.
CESU is launching, as described above, will provide product marketing assistance to Hanson,
and is launching a design and market consultancy to assist with the BRS and SNGH deployment and
operation following the Southwest Research Institute test and proof of performance of the BRS and
UNGH. Following the performance tests, the tested units will be modified as recommended.
