& CONDITIONS FOR FREELANCE DESIGNERS General AsadesignerforM/s.WrapppoApparelsIndia,incorporatedinChennai,India,inconsideration of the compensation now and hereafter paid to me, I will devote my best efforts to furthering the best interests of M/s. Wrapppo Apparels India. I assure that the designs submitted by me, are not copies/reproduction/replica of existing designs from other Brands. I understand that the in any case of any copyright violation or similar fraudulent violation of which M/s. Wrapppo Apparels India is held responsible, I shall take full responsibility and indemnify Ms. Wrapppo Apparels India for all reasonable costsofdefendingsuchactionsandproceedings. Duringmycontract,Iwillnotengageinanyactivitythat: a) Conflicts with the business interest of M/s. Wrapppo Apparels India, including without limitation, any businessactivitiesnotmentioninthisagreement, b) Occupies my attention so as to interfere with the proper and efficient performance of my duties at M/s.WrapppoApparelsIndiaor c) Interferes with the independent exercise of my judgment in best interest of M/s. Wrapppo Apparels India. As used herein, M/s. Wrapppo Apparels Indias business means the designing, manufacturing, marketing andsupportofthebrandforbusinessandprofessionaluseincludingdesigns,fabricandmanufacturing. Payment I shall receive a payment of Rs.1000/ (all inclusive) per design that is selected for production. 50% payment shall be made on selection and the other 50% shall be paid on initiation of the manufacturingprocess. Intellectual Property Rights The designs that are selected by M/s. Wrapppo Apparels India for production are the Intellectual Properties of M/s. Wrapppo Apparels India and shall not be disclosed to anyone outside M/s. Wrapppo Apparels India. The above mentioned designs can be used in the portfolio orprofileofthedesigneraslongastheyarenotsoldtoanyotherentity. Non Disclosure During my contract, I will not disclose to anyone outside M/s. Wrapppo Apparels India noruseforanypurposeotherthanmyworkforM/s.WrapppoApparelsIndia a) Any confidential or proprietary technical, financial, marketing, manufacturing, distribution or other technical or business information or trade secrets of M/s. Wrapppo Apparels India, including without limitation, concepts, techniques, processes, methods, systems, cost data, computer programs, formulae,developmentorexperimentalwork,workinprogress,customersandsuppliers, b) AnyinformationM/s.WrapppoApparelsIndiahasreceivedfromotherswhichM/s.WrapppoApparels Indiaisobligatedtobetreatedasconfidentialorproprietaryor c) AnyconfidentialorproprietaryinformationwhichiscirculatedwithinM/s.WrapppoApparelsIndiavia itsinternalelectronicmailsystem,intranetorotherwise.

However, this limitation of No Disclosure with respect to the designs is limited to only those designs that areselectedforproductionbyM/s.WrapppoApparelsIndia. Prior Employer Information During my contract period at M/s. Wrapppo Apparels India, I will not use improperly or disclose any confidential or proprietary information or trade secrets of my former or current employers, principals, partners, coventures, clients, customers or suppliers of the vendors or customers of such persons or entities or their vendor or customers and Iwill not bring ontothe premises of M/s. Wrapppo Apparels India, any unpublished document or any property belonging to any such personsorentitiesortheirvendorsorcustomersunlesssuchpersonsorentitieshavegiventheirconsent. IwillnotviolateanynondisclosureorproprietaryrightsagreementImighthavesignedincollectionwith anypersonorentity. Entire AgreementIagreethatthisagreementshallbegovernedforallpurposesbythelawsofIndiaand thatvenueforanyactionarisingoutofthisagreementshallbethecourtsofIndia.Ifanyprovisionofthis agreement shall be declared excessively broad, it shall be construed so as to afford M/s. Wrapppo ApparelsIndiathemaximumprotectionpermissiblebylaw.Ifanyprovisionofthisagreementisvoidoris so declared, such provision shall be severed from this agreement, which shall otherwise remain in full force and effect. This agreement sets forth the entire agreement of the parties as to the subject matter hereofandanyrepresentations,promises,orconditionsinconnectiontherewithnotinwritingandsigned by both parties shall not be binding upon either party, the terms and conditions of this agreement shall surviveterminationofmycontract. Unless otherwise provided herein, all notices or other communications under or in connection with this Agreementshallbegiveninwritingandmaybesentbypersonaldeliveryorpostorcourierorfacsimileat the address M/s. Wrapppo Apparels India, No73/12, Halls Road, Kilpauk, Chennai 600010. Any such notice or other communication will be deemed to be effective if sent by personal delivery, when delivered, if sent by post, 4 (four) days after being deposited in the post and if sent by courier, one day afterbeingdepositedwiththecourier,andifsentbyfacsimile,whensent(onreceiptofaconfirmationto thecorrectfacsimilenumber).
