Dear VIPIN KUMAR, Sub.: Appointment Letter. This has reference to your application and subsequent interview you had with us, we are pleased to appoint you in this organization on the following terms & conditions: (1) (2) You will be designated as "Sales Representative". (a) (b) Your appointment will be effective from 01/02/2011. Your Head Quarter will be "GHAZIABAD" and you will report for your duties and for further instructions to Mr. Rajendra Khandelwal (Asst. R S M) on 01/02/2011 at the following address: III-A-35, Ner=hru Nagar, Rakesh Marg, Jhankar Palace Road, Ghaziabad - 201 001 (3) You will be paid total gross salary of Rs 15500.00/- p.m., inclusive of all, details of which have been given in the statement enclosed which is subject to deductions as per the Income Tax Act and other Laws. You will not be entitled to any other payments of any kind either in cash or in kind, either monthly or yearly or otherwise. The management reserves the right to bifurcate the Salary or merging the Salary with any other allowance / aiiowances. That in the first instance you will be on probation for a period of 9 (Nine) months from the date of your joining, where after the probation period may be either extended or may be dispensed with earlier. Unless confirmed in writing, you will be deemed as probationer after the expiry of the initial or extended period of probation. Your services are liable to be terminated without any notice or wages in lieu thereof during the initial or extended period of probation, at any time. On your services being confirmed in writing, the same may be terminated by either side after giving one month's notice or alternatively payment of salary in lieu of such notice. However, if the company does not accept the notice of termination of service, for any reasons whatsoever and directs you to continue the services, you would continue until you are relieved. The period of one month's notice is to be calculated from the date of receipt of such notice by the competent authority. (7) You will carry out your duties and responsibilities as instructed/directed by your superior from time to time. You will be required to work as per the timings, as may be informed to you from time to time. This will include shift working.

Any work does by you during your association with the company as an employee or otherwise will be property of the company and shall deposit all information, reports, documents related to the company. During your service tenure, you will work to the best of your ability and devote your whole time for the business of the company, as directed by the authority of the company. As long as you are in the employment of our company, you are not allowed to do job either on part time basis or otherwise, directly or indirectly, in any other organization, except with the prior permission of the competent authority in writing If you do not obtain said permission in writing, under such circumstances, the company would have sole right to terminate your services and recover from you the damages due to your such actions. During the tenure of your service or even thereafter you shall not disclose, divulge or make public or shall personally use for your gain any of the materials, process, accounting transactions, dealings information etc., whether the same may be confined to you or know to you during the course of your services or otherwise and all such information shall be treated as confidential. In any circumstances, you will not take out of the company's premises, and retain any paper, report, books or any other documents or information about the company's operation and activities. During he tenure of your service, your services are liable to be transferred at any time from one job, section or department to another job, section or department and from one establishment to other associate concerns of the company anywhere in India, without any additional remuneration and allowances and on your such transfer you will be governed by the rules and regulations and other working conditions/terms of services, as applicable to the place of transfer, to you category of employees, and refusal to carry out transfer would amount to an act of misconduct and you will be liable for disciplinary actions. Your appointment and its continuance is subject to your being found medically/physically and mentally fit by Medical Officer of the company and for that purpose you may be required to appear before the Medical Officer approved/appointed by the company. You shall also offer yourself for medical examination at any time by the doctor appointed by the company as and when desired by the competent authority of the company for verification for your fitness to work or to verify your sickness or for any other reasons.

P.F, ESI, bonus and gratuity, leave etc., will be paid/given as per the statutory provisions of the government/company's rules and regulations. This appointment will be subject to receipt of satisfactory verification of particulars given by you in your application form. In case any particulars mentioned by you in the application from for appointment are found to be false or incorrect, your services will be terminated with immediate effect without any notice. You will retire from the services of the company on attaining the age of 58 years. However, if you are found unfit to work on medical ground or otherwise, the competent authority reserves the right to utilize your services in any other capacity or to effect premature retirement, and the decision of the authority will be binding on you in this regard. For the purpose of deciding your date of retirement, the date of birth as recorded by you in your application, at the time of joining this organization, will be final, which will be as per the School

Leaving Certificate or SSC Board's Certificate or similar to this. No application, after joining the organization, for change of date of birth will be entertained in any case. (17) For the acts or omissions, constituting misconduct, you will be liable for disciplinary actions as per the rules and regulations, as applicable to you. If you retired to be suspended allowance, except if payable under the statutory requirements, subject to other conditions as laid down by the company from time to time. Your address as indicated in your application for appointment shall be deemed to be agreed for sending any communications to you, and communication addressed to you at the given address, shall be deemed to have been served upon you. In case there is any change in your residential address, you will intimate the same in writing to the Personnel Department, within 3 days from the date of such change and get such change of address recorded. You will be responsible for safe keeping/return in good condition and order of all of our properties that may be entrusted to you from time to time for study/care/charge/use. If you fail to account for any property that may be entrusted to you or for which you are responsible, the company shall have the right to deduct the money value of such property from your dues, apart from the company's right to take any other appropriate actions as deemed fit.

(22) In any other matters company's rules, regulations etc., existing or that may be added/modified in future will be final and binding to you. (23) All disputes and differences are to be enquired and to be dealt with at Ahmedabad and that the court, tribunal and or authority at Ahmedabad only, shall have jurisdiction to entertain, try and decide such disputes and differences arising out of or pertaining to this agreement of employment, irrespective of your working head quarter, being elsewhere at the time of arising of dispute. Should any terms and conditions of this (offer of) appointment letter be declared or be determined by any court to be illegal or invalid, the validity of the remaining terms and conditions of service, shall not be affected thereby. If the above terms and conditions of your appointment are acceptable to you, then please sign each page and return the 2nd copy of this letter, in token of having accepted all the terms and conditions without any reservations.
