General Sales Conditions of Georg Fischer Wavin Ltd
1. General
1.1 These conditions shall be binding if so stated in the offer or the or-
der confirmation. The General Sales and Delivery Conditions shall
be considered accepted by customer at the time the order is
placed, but not later than upon receipt of the goods. Provisions at
variance with the General Sales and Delivery Conditions issued by
customer shall be valid only if accepted by supplier in writing.
1.2 Should a provision of these General Sales and Delivery Conditions
prove to be wholly or partly invalid, the parties to the contract shall
jointly seek an arrangement having a legal and economic effect
which will be as similar as possible to the invalid provision.
1.3 The contract shall be deemed to have been entered into upon receipt
of suppliers written acceptance of the order (order confirmation).
Offers not specifying acceptance periods shall not be binding.
1.4 All agreements and legally relevant declarations of the parties to the
contract must be in writing in order to be valid.
2. Scope of supplies and services
The supplies and services are exhaustively specified in the order
confirmation and in eventual appendices thereto.
3. Technical documents
Unless otherwise agreed upon, brochures and catalogues are not
binding. Data provided for in technical documents such as drawings,
descriptions, illustrations weight and performance specifications and
the likes, are only binding in so far as having been expressly stipu-
lated as such.
4. Prices
4.1 Unless otherwise agreed upon in the order acceptance/order con-
firmation, prices shall correspond with the price list in force at the
time, plus value-added tax in the amount described by law.
Unless otherwise specified, all prices shall be net, ex works (Inco-
terms 1980), in freely available Swiss francs, without deductions of
any kind.
4.2 The supplier reserves the right to adjust the prices in case the wage
rates or the raw material prices vary between the submission of the
tender and the contractually agreed performance. In such a case,
an appropriate price adjustment shall be made.
In addition, an appropriate price adjustment shall apply in case
the delivery time has been subsequently extended for one of the
reasons specified in art. 7.4 or
the nature or the scope of the agreed supplies or services has
changed or
the material or the execution has undergone changes because
any documents furnished by the customer were not in conformity
with the actual circumstances, or were incomplete.
5. Terms of payment
5.1 Payments shall be made, either in cash or by order for payment, at
suppliers domicile, without any deduction for expenses, taxes, levies,
fees, custom duties, and the like.
The invoiced amount shall be paid no later than 30 days after the
invoice date, free of deductions of any kind. Specifically agreed upon
discounts or discounts specified on the price list in force at the time
constitute the only permissible exception.
In the case of invoice of partial delivery, payment shall be made for
each such delivery according to the agreed upon terms of payment.
If conditions of payment are not met, all claims from current orders
shall fall due immediately.
5.2 The dates of payment shall also be observed if transport, delivery,
erection, commissioning or taking over of the supplies is delayed or
prevented due to reasons beyond suppliers control.
5.3 Payment obligations shall be considered met when the supplier can
freely dispose of the money in Switzerland at the agreed upon pay-
ment date, or respectively 30 days after the invoice date, regardless
of agreed upon payment sites.
5.4 If the customer delays in the agreed terms of payment, it shall pay,
without reminder, interests with effect from the date on which the
payment was due at a rate depending on the terms prevailing at the
customers domicile, but not less than 4% over the current discount
rate of the Swiss National Bank, unless a higher rate of interest was
previously agreed upon. Payment of interests for delay shall in no
way annul obligations for payment according to the contract.
Furthermore, the supplier may, in case of a delay in payment and
after naming an appropriate extension, withdraw from the contract
unilaterally, prohibit the resale of the goods supplied under reser-
vation of title and direct the return of the goods at customers ex-
pense. Customer shall be liable for all freight and expenses incurred
in this context.
5.5 The supplier shall be entitled to offset any of its claims against claims
by the customer, regardless of their cause in law. The supplier may in-
corporate in its claims of the customer against the supplier as well as
claims of the customer against other group companies within sup-
pliers corporation.
6. Reservation of title
6.1 When the supplies are delivered prior to the time customer has paid
all amounts owing according to contract, supplier shall retain title to
goods (hereinafter referred to as title-reservation goods) until such
times as all claims and damage claims are satisfied, and cheques
and bills of exchange are cashed. This provision shall be applicable
in so far as the laws in the region in which the goods are located do
not prohibit such regulations. Should such laws not permit title-
reservation, but allow for other rights to the goods in question, sup-
plier shall be permitted to avail itself of such rights. Customer shall
assist supplier in obtaining such rights to protect its ownership or any
other rights regarding the goods in question. With conclusion of the
contract, customer shall authorize supplier to enter or register title at
customers expense in public registries, books or the like, according to
applicable national law, and to fulfil all required formalities.
6.2 Should the customer have other transactions pending with the
supplier, title to the title-reservation goods shall not be transferred to
the customer until all other claims, particularly claims from other
contracts between supplier and customer, are satisfied (extended
reservation of title).
6.3 Should the customer process, mix, blend or otherwise unite contract
goods with materials not owned by the supplier, the latter shall be
co-owner of the new goods according to the share of the title-
reservation goods in the overall value at the time of such processing
(prolonged reservation of title).
6.4 In case of the resale of processed, mixed or blended title-reservation
goods or parts of them, the claims of the customer as co-owner shall
be assigned to the supplier to the extent of suppliers invoiced
amount, including shares of all auxiliary rights. This shall also apply if
the title-reservation goods have been sold unprocessed or processed
together with other goods not provided by the supplier. Should the
customer factor his claim, it shall assign to the suppliers its claim
against the factor. The customer shall accept these assignments and
shall supply any information needed to help the supplier claim the
rights so assigned.
6.5 The supplier may prohibit processing, etc, of title-reservation goods at
any time, particularly in the case of suspension of payments.
6.6 According to the customers instructions the supplier shall immediately
release goods fully paid for if title-reservation coverage exceeds the
amount of suppliers claim by 10%.
6.7 Title-reservation goods or assigned claims shall not be offered as
collateral or used on security transfers. The suppliers shall be notified
immediately of any attachment, passed or future, or any other limi-
tation by third parties of the suppliers rights, together with the name
of the attachment creditor or third party.
6.8 The customer shall store the title-reservation goods on suppliers be-
half without charge. The customer shall maintain the title-reservation
goods in good condition and insure them adequately, at its expense
and with the supplier as beneficiary, against theft, damage due to
breakage, fire, water and other risks for the duration of title-reser-
vation. Claims against insurers or other liables for damages to the
extent of payments not made at the time the damage is incurred shall
be assigned to the supplier. The customer shall immediately inform the
supplier in writing of any claims by third parties regarding the title-
reservation goods or regarding assigned claims. Furthermore, the
customer shall take all measures to prevent limitations to or cancel-
lation of suppliers title, particularly in the case of bankruptcy pro-
ceedings.
7. Delivery time
7.1 Except as otherwise specifically agreed upon in writing, all dates and
delivery times stated by the supplier shall be considered as estimates
only. While delivery dates are stated in good faith, they shall not be
guaranteed.
In case of a specific, written and binding delivery time, the following
articles, numbered 7.2 to 7. 7 shall apply:

7. 2 The delivery time shall start as soon as the contract is entered into, all
official formalities such as, but not limited to, import, export, transit
and payment permits have been completed, eventual payments due
with the order have been made, any agreed securities given, the
documents to be supplied by customer have been made available
and the main technical points settled. The delivery time shall be
deemed to be observed if by that time the supplier has sent a notice
to the customer informing that the supplies are ready for dispatch.
7. 3 Compliance with the delivery time is conditional upon customers
fulfilling of its contractual obligations.
7. 4 The delivery time is even in case of a delay in delivery reasonably
extended:
a) if the information required by the supplier for performance of the
contract is not received in time, or if the customer subsequently
changes it thereby causing a delay in the delivery of the supplies
or services;
b) if hindrances occur which the supplier cannot prevent despite
using the required care, regardless of whether they affect the
supplier or the customer or a third party. Such hindrances include,
but shall not be limited to, epidemics, mobilization, war, revolution,
serious breakdown in the works, accidents, labour conflicts, late or
deficient delivery by subcontractors of raw materials, semi-finished
or finished products, the need to scrap important work pieces,
official actions or omissions by any state authorities or public
bodies, obstacles to shipping, lack of means of transportation,
natural catastrophes or other acts of God;
c) if the customer or a third party is behind schedule with work it has
to execute, or with the performance of its contractual obligations,
in particular if the customer fails to observe the terms of payment.
In case of events listed in paragraph b), the supplier may choose be-
tween appropriate time of delivery extension or withdrawal from the
contract. Under the circumstances listed in paragraph b), supplier
may exercise the right to termination even if no binding delivery time
has been agreed upon.
7.5 Liquidated damages for delayed delivery shall only be due if, ac-
cording to the stipulations of art. 7.1, the supplier specifically agrees in
writing to a certain delivery time and to pay liquidated damages if it
fails to keep it. In such a case the customer shall be entitled to claim
liquidated damages for delayed delivery in so far as it can be proved
that the delay has been caused through the fault of the supplier and
that the customer has suffered a loss as a result of such delay. If
substitute material can be supplied to accommodate the customer,
the latter is not entitled to any damages for delay.
The extent of liquidated damages for delayed delivery shall be
settled with conclusion of the contract.
Liquidated damages shall not exceed a total of 5% of the contract
price of the delayed part of the overall order. The first two weeks of a
delay shall not constitute grounds for imposing liquidated damages
for delayed delivery.
After reaching the maximum liquidated damages for delayed deliv-
ery, the customer shall grant the supplier a reasonable extension of
time in writing. If such extension is not observed for reasons within
suppliers control, the customer shall have the right to reject the
delayed part of the supplies. If a partial acceptance is economically
not justified on the part of the customer, the latter shall be entitled to
terminate the contract and to claim refund of the money already paid
against return of the deliveries supplied.
7. 6 In case a specific date instead of a delivery time is fixed, such date
shall correspond to the last day of a delivery time.
7. 7 Any delay of the supplies or services does not entitle the customer to
any rights and claims other than those expressly stipulated in art. 7.
This limitation does not apply to unlawful intent or gross negligence
on the part of the supplier, but to unlawful intent or gross negligence
of persons employed or appointed by the supplier to perform any of
its obligations.
8. Passing of benefit and risk
8.1 In case of a specific delivery date agreed upon by the two parties
(art. 7. 2 to 7. 7), benefit and risk shall pass to customer when the
supplies leave the factory or warehouse (ex works). If no specific
delivery date has been fixed, benefit and risk shall pass to the
customer when the supplies are ready for dispatch. Both cases shall
apply regardless of who handles shipping and pays shipping costs
or whether or not erection is included in the price. The same holds true
of shipping organized by the supplier.
8.2 If dispatch is delayed at the request of the customer or due to reasons
beyond suppliers control, the risk of the supplies shall pass to the
customer at the time originally foreseen for their leaving the works or,
respectively, at the time of readiness for dispatch. From this moment
on, the supplies shall be stored on the account and at the risk of the
customer.
9. Dispatch, shipping and insurance
The shipping shall be at customers expense and risk. Objections re-
garding dispatch or shipping shall upon receipt of the supplies or of
the shipping documents be immediately submitted by the customer to
the last carrier. The customer shall be responsible for taking insurance
against risks of any kind.
10. Inspection and taking-over of the supplies and services
10.1 As far as being normal practice, the supplier shall inspect the supplies
and services before dispatch. If the customer requests further testing,
this has to be specially agreed upon and paid for by the customer.
10.2 The customer shall inspect the supplies and services within a reason-
able period and shall immediately notify the supplier in writing of any
deficiencies, at the latest two weeks after receipt of the goods. If the
customer fails in doing so, the supplies and services shall be deemed
to have been taken over. Deficiencies that remain undiscovered within
the mentioned period in spite of careful examination may be reg-
istered after expiry of this period. Such deficiencies must be reg-
istered immediately upon their discovery, but no later than within
one week thereof. Processing of such goods shall cease immediately.
Claims for deficiencies shall be accepted latest 12 months after
receipt of the goods by the end-user, however, not later than
18 months after ex factory or ex warehouse shipping by Georg
Fischer Wavin AG.
10.3 Having been notified of the deficiencies the supplier shall as soon as
possible remedy them according to art. 11. 2, and the customer shall
give the supplier the possibility of doing so.
10.4 The carrying out of a taking-over test as well as laying down the
conditions related thereto need a special agreement.
10.5 Deficiencies of any kind in supplies or services shall not entitle the
customer to any right or claims other than those expressly stipulated
in the art. 11 and 12 (guarantee, liability for defects).
11. Guarantee, liability for defects
11.1 Unless different agreements have been reached, the guarantee
period is 12 months after receipt of the goods by the end-user; it
expires latest 18 months after ex factory or ex warehouse shipping by
the supplier (Georg Fischer Wavin AG).
If the dispatch is delayed due to reasons beyond suppliers control,
the guarantee period shall end not later than 18 months after sup-
pliers notification that the supplies are ready for dispatch.
For replaced or repaired parts the guarantee period starts anew and
lasts 6 months after replacement or completion of the repair or taking-
over but not longer than 18 months after ex factory or ex warehouse
shipping.
The guarantee expires prematurely if the customer or a third party
undertakes inappropriate modifications or repairs or if the customer,
in case of a defect, does not immediately take appropriate steps to
mitigate the damage and give the supplier the possibility of remedy-
ing such defect.
11. 2 Liability for defects in material, design and workmanship
Upon written request of the customer, the supplier, as soon as possi-
ble and at its choice, shall repair, replace or pay the net replacement
value of all parts of the supplies which, before the expiry of the
guarantee period, are proved to be defective due to bad material,
faulty design or poor workmanship, provided the defect occurred
during the guarantee period, supplier was notified in time and the
supplier recognizes customers guarantee claim. Replaced parts shall
become suppliers property.
11. 3 Liability for express warranties
Express warranties are only those which have been expressly speci-
fied as such in the specifications. An express warranty is valid until the
expiry of the guarantee period at the latest.
If the express warranties are not or only partially achieved, the
customer may first of all require the supplier to carry out the im-
provements immediately. The customer shall give the supplier the
necessary time and possibility of doing so. If such improvements fail
completely or in part, the customer may claim a reasonable reduction
of price. If, however the defects are of such importance that they
cannot be remedied within a reasonable time and provided the
supplies and services provably cannot be used for the disclosed
purpose, or if such use is considerably impaired, then the customer
shall be entitled to refuse acceptance of the defective part or, if
partial acceptance is economically not justified for it, to terminate the
contract. In such case the supplier can only be held liable for
reimbursing the sums which have been paid to it for the parts affected
by the termination.
11. 4 Exclusions from the liability for defects
Excluded from suppliers guarantee and liability for defects are all
deficiencies which cannot be proved to have their origin in bad

material, faulty design or poor workmanship, e.g. those resulting from
normal wear, improper maintenance, failure to observe the operating
instructions, excessive loading, use of any unsuitable material,
influence of chemical or electrolytic action, building or erection work
not undertaken by the supplier, or resulting from other reasons
beyond suppliers control.
11. 5 Exclusivity of guarantee claims
With respect to any defective material, design or workmanship as
well as to any failure to fulfil express warranties, the customer shall
not be entitled to any rights and claims other than those expressly
stipulated in art. 11.1 to 11. 4.
12. Exclusion of further liability
Any rights and claims on the part of the customer other than those
expressly stipulated in these General Sales and Delivery Conditions
are excluded, irrespective on what ground they are based; this in
particular refers to claims for damages, reduction of price or termi-
nation of the contract unless expressly stipulated therein. In no case
whatsoever shall the customer be entitled to claim damages other
than compensation for costs of remedying defects in the supplies. This
in particular refers, but shall not be limited, to loss of production, loss
of use, loss of orders, loss of profit and other direct or indirect or
consequential damages. These exclusions, however, do not apply to
unlawful intent or gross negligence on the part of the supplier, but do
apply to unlawful intent or gross negligence of persons employed or
appointed by the supplier to perform any of its obligations.
13. Place of performance, jurisdiction and applicable law
13.1 Place of performance and payments is the place of business of the
factory having dispatched the goods (Subingen or Schaffhausen,
Switzerland).
The Place of jurisdiction for both the customer and the supplier
shall be the place of business of the factory having dispatched
the goods (Solothurn or Schaffhausen, Switzerland). The supplier
shall, however, be entitled to sue the customer before any other
competent court.
13.2 The contract shall be governed by substantive Swiss law, under ex-
clusion of the Vienna United Nations Convention on Contracts for the
International Sale of Goods of April 11, 1980.
13.3 Both parties shall make every effort to settle differences amicably.
