Right to Duplicate, Distribute and Use Ecology Action Copyrighted Materials. Ecology Action hereby grants to User during the Term hereof a limited, non-exclusive, nontransferable, non-sublicensable, revocable right within [country] (the Territory) to duplicate, distribute and use [a description] as approved by Ecology Action for the sole purpose of [a description] (Ecology Action Materials). User must only reproduce such materials using Ecology Action-approved format. Except to make other modifications expressly approved in writing by Ecology Action, User must duplicate, distribute and use the Ecology Action Materials without any alteration. Nothing in this Section 1 shall be construed to limit the rights granted to User pursuant to Section 2. 2. Right to Translate. Ecology Action further grants to User a limited, nonexclusive, non-transferable, non-sublicensable, revocable right within the Territory to translate Ecology Action Materials into the relevant native language(s) spoken in the Territory (Translated Materials). User shall obtain Ecology Actions written approval prior to the preparation, printing, use or distribution of any Translated Materials. Ecology Action will notify User in writing of its approval or disapproval of the proposed Translated Materials within fifteen (15) business days from receipt thereof. In the event that Ecology Action disapproves the proposed Translated Materials, User must revise such materials to conform to Ecology Actions directives. User must then resubmit such materials for Ecology Actions written approval pursuant to the procedure set forth above. 3. Copyright Ownership. User acknowledges that, as between Ecology Action and User, Ecology Action is the exclusive owner of any and all content and rights of copyright and any other proprietary rights in the Ecology Action Materials and Translated Materials, in whole or in part, and whether used, approved or disapproved by Ecology Action. User agrees that it will not commit, or assist any other person, legal or natural, in committing, any act of infringement or misappropriation with respect to the Ecology Action Materials and Translated Materials or other of Ecology Actions copyrighted works or contest Ecology Actions ownership thereof, under penalty of legal prosecution. 4. Copyright Notice. User covenants that:

a. All Ecology Action Materials and Translated Materials that are reproduced, distributed, disseminated and/or posted will display the original copyright and protective notices that appear on Ecology Action Materials, as well as the following notice in both English and the prevailing local language: Reproduced under license for limited use by [User full name]. These materials are protected by United States laws, international copyright laws and international treaties.

b. Approved translations of any Ecology Action Materials, in any medium whatsoever, will include the following notice and disclaimer, in both English and in the prevailing local language: Copyright (year date)* Ecology Action, Inc. All rights reserved. Reproduced under license for limited use by [User full name.] These materials are protected by United States laws, international copyright laws and international treaties. In the event of any discrepancy between this translation and official Ecology Action materials, the terms of the official Ecology Action materials will prevail. [*The year in which the work is first publicly distributed or displayed should be inserted in the parentheses and appear in the notice.] 5. Works for Hire.

a. User acknowledges and agrees that each and every one of the Translated Materials prepared by User shall be a work made for hire (as such term is defined under the U.S. Copyright Act), and that Ecology Action will be the author of and own all rights under copyright in and to such works. If, and to the extent that, any jurisdiction should fail to deem any Translated Materials prepared by User to be a work made for hire owned by Ecology Action, User hereby irrevocably assigns to Ecology Action all rights (including sublicensing rights), title and interest in and to such work. To the extent any of Users rights in any such copyrightable works, including any moral rights, are not capable of assignment under applicable law, User hereby irrevocably and unconditionally waives all enforcement of such rights to the maximum extent permitted under applicable law. b. User shall execute and deliver to Ecology Action such additional instruments, and take such other actions as Ecology Action may reasonably request, to confirm, evidence, or carry out the grants of rights contemplated by this Section 5. Users obligations under this Section 5 will apply both during and indefinitely after the Term of this Agreement. User hereby appoints Ecology Action as Users agent and attorney-in-fact to act in Users stead to execute and deliver any such additional instrument and take such other actions, with the same legal force and effect as if done by User, should User for any reason whatsoever fail to promptly execute or deliver any such instrument or take such other actions as described in the first sentence of this Section 5.b. User acknowledges and agrees that this appointment constitutes a right coupled with an interest and is irrevocable.
