AGREEMENT

THIS AGREEMENT dated the ______ of 2008 entered into

between Raigadh Mines & Minerals, a partnership firm having registered office at 1201-
B, Shepherd Residency, Opposite P. South Ward Office Mitha Nagar, Goregaon (West),
Mumbai-400090 represented by its Partners Mr. Nasir Ahmed Parkar, Mr. Umer
Mohammed Harvitkar and Mr. Purushotham M. M. (hereinafter referred to as “RMM”,
which expression shall, unless repugnant to the context or meaning hereof, be deemed to
include its successors and permitted assigns) of the Party of the First Part.

And

Mr. Sameer Madhukar Thakur, S/o Madhukar Thakur residing at Alibag, Dist. Raigadh,
Maharashtra and having his office at Satirje Po. Mapgaon, Tal. Alibag Dist. Raigadh
(hereinafter referred to as “SMT”, which expression shall, unless repugnant to the
context or meaning hereof, be deemed to include its successors and permitted assigns) of
the Party of the Second Part.

Whereas the firm Raigadh Mines & Minerals is engaged in excavation, transportation
and sale in India and Abroad of Bauxite Ore.

The Parties of the Second Part, Mr. Sameer Madhukar Thakur is engaged in Mining
activities of Bauxite and has offered Mining Lease to M/s Raigadh Mines & Minerals to
carry on excavation, transportation and sale in India and Abroad of Bauxite Ore for 20
years.

NOW THIS AGREEMENT WITNESSETH :

AREA & LOCATION OF MINING LEASE:

The Mining Lease owned by Mr. Sameer Madhukar Thakur is located at

______________________________Borli-Karle, Taluka Shrivardhan, Dist. Raigadh and the
area of the Mining Lease is around 45 hectare.

PERIOD OF MINING LEASE:

The Period for which the Mining Lease is given to M/s Raigadh Mines & Minerals is for
20 Years.

CONSIDERATION

M/s Raigadh Mines & Minerals Shall pay a Royalty of Rs. 100/- (Rupees Hundred Only)
per Metric Ton to Mr. Sameer Madhukar Thakur which is payable after excavation and
transportation from the Mines to Port and the Royalty Amount shall be renewal after
every 5 years.

TRANSACTION :

That the Parties have mutually agreed that Mr. Sameer Madhukar Thakur shall provide :

1. All approvals required for carrying out the mining activity i.e. Collector Permission,
MOEF Licence/ Clearance, MPCB Maharashtra Licence or any other legal clearance
shall be obtained within one month of this agreement.
2. The Land acquisition from the Land Owners and to get NOC from them for carrying
out the mining activity.
3. All co-ordination with Government Authorities for carrying our the business
activities.

That the Parties have mutually agreed that M/s Raigadh Mines & Minerals shall provide
:

1. All the Government Royalties, Taxes, Fees, Land owners consideration or any
other charges related mining activities.
2. Total excavation of Bauxite Ore shall be around 2.5 Lakhs Mertic Ton to 3 Lakh
Metric Ton per season.

PAYMENT SCHEDULE :

That the Parties of the First Part shall pay :

1. The Royalty Amount on 5th day of every month after transportation of Bauxite Ore
from Mines to Port.

IN WITNESS WHEREOF the parties have set their respective hands to these presents
on the …… day of ……….. October and 2008 year hereinabove written.
