It is with great pleasure that we introduce the fifth edition of the SwedenIndia Business Guide. We have understood by the reactions to previous editions that this guide serves as an appreciated introduction for those, both in India and Sweden, who want to learn more about business opportunities in the two countries.
The theme of this year's edition is Environment Technology. There are obvious reasons why we stress our concern for the environment.
For Swedish companies India is a very exciting market. Despite the global recession, the Swedish companies doing business in India report healthy business and indicate an even more positive outlook for the near future.

India shows great business potential The second Business Climate Survey conducted among Swedish and Swedish related companies in India reconfirms that the Swedish business community consider India a market with great potential. The purpose of the survey is to monitor the business confidence of Swedish companies in India with regard to their own, as well as India's future role in the Asian region. The survey also gathers the joint experience and knowledge of Swedish companies in order to facilitate for future establishments. The results of the survey will serve as a basis on issues to focus on, in order to improve the climate for the Swedish business community. The survey was conducted by the Swedish Chamber of Commerce India together with the Swedish Trade Council and the Embassy of Sweden in India.
BUSINESS CLIMATE REPORT INDIA
Market demand is the main driver for entering the Indian market India is rapidly developing into an important market for Swedish companies. Companies in the engineering products sector still dominate the Swedish presence in India but Swedish companies are also represented in other sectors such as, IT and Telecom, Trading, Infrastructure/ Construction, Retail, Automotive, Life Science/Medical Technology, Defence and Banking. Marketing and sales is the primary business for a majority of the companies but for many companies production and sourcing are also important businesses. Other business areas of interest where Swedish companies operate are outsourcing of support functions and research and development. Even though low cost production and sourcing are important drivers for establishment in India, the survey shows that market demand B2B and the Indian consumers are the main drivers for entering the Indian market. Most of the companies' headquarters are located in Delhi (including the satellite city of Gurgaon), followed by Mumbai, Bangalore, Pune and Chennai. Many companies also have offices in Kolkata, Hyderabad, Ahmadabad and Chandigarh and many are planning to increase their presence most noticeably in Chennai and Ahmadabad. A majority of the companies in India are also present in China and South East Asia and to a quite large extent in the Middle East.
Method All large Swedish companies in India, as well as large number of medium and small sized companies from the different business sectors, participated in the survey. The survey was sent to all Swedish companies with presence in India either through own legal entity, joint venture, partner or other such as liaison office. The survey was distributed electronically to 108 companies and 62 took part in the survey resulting in a response rate of 57,4%. The information provided by the companies is strictly confidential and no data related to the individual companies will be published.
Favourable business climate despite price conscious market A large number of the companies consider India to be a price sensitive and price conscious market. More than half of the companies apply a

lower price strategy in India compared to the majority of the companies' other markets. Only 1 out of 5 companies apply a higher price strategy in India. Despite the price conscious market, a majority of the companies believe their business in India to be slightly more profitable when compared to their other markets.
(1 being low impact and 10 being high impact), the average effect on the global business is 6, 7 whereas the average in India only rates 5, 4. The vast majority of the companies believe that the effect of the global financial situation to their business in India will be over in the near future, i.e. either in 2009 or by 2010. Almost all companies are planning to increase their activities in India in the coming three years. What is interesting to notice is that none of the companies participating in the survey is planning to reduce its activities or to leave India. The majority of the companies foresee that their overall performance in India in the coming three years will be either favourable or very favourable.
High-quality workforce at a higher cost India has a good availability of a well-educated English-speaking workforce. The white collar workforce is considered to be of high quality but is also considered expensive. Blue collar workforce is still quite inexpensive but the perceived quality has gone down since last years survey. The availability of housing is quite good but comes at a high cost and the quality does not always correspond to the price. Poor air quality, water supply problems and frequent power cuts are still challenges Swedish companies have to tackle on an everyday basis. Office space is available but at a relatively high cost and the quality does not always correspond to the price. Business travel and hotels are considered to be of high quality but are also rather expensive.
Patience needed to overcome multiple systemic difficulties and peculiarities! The Swedish business community still face challenges when doing business in India and 1/3 of the companies faced bottlenecks when establishing. The largest obstacles are, just like last year's survey concluded, the bureaucracy, corruption, complex labour and taxation regulations, high taxation rates and the complicated legal and regulatory system. Many of the legal and taxation regulations are also subject to regional differences which complicates matters even more. In some cases companies face difficulties due to lack of thorough market research and not taking into account regional differences including the legal and taxation regulations. Many companies stress the importance of ensuring a long-term commitment, having local staff and advisors present from start and that solutions and strategies have to be India specific in order to be successful.
The global financial situation has lesser impact on the Swedish companies in India compared to their other markets The Swedish companies have to some extent been affected economically by the global financial situation. The effect, however, seem to have had a lesser impact on the business in India in comparison to the companies' global business. On a scale from 1 to 10

It is also important to understand the Indian business culture, and the different socio-economic and regional segments and accepting that business relationships are importance. Many companies point out that patience is crucial when doing business in India.
research before entering the Indian market, have local staff and advisors present from start, have India specific solutions and strategies, ensure long-term commitment and have patience when doing business in India.
Swedish companies betting high on India! The Swedish business community has a bright future and many of the companies consider the Indian market to be of high interest and offer many business opportunities. The newly elected government is expected to bring more stability to India and reforms may make it even more appealing for Swedish companies to enter the Indian market. The Swedish companies have a strong belief in India's future development and potential for growth. An indication of this is that the majority of the companies enjoy doing business in India and almost all of them are planning to expand their activities and to double their workforce in the coming three years.
Summary Overall the Swedish companies enjoy doing business in India and have a strong belief in India's future. The global financial crisis has had lesser impact on the Swedish companies in India compared to their other markets and almost all companies are planning to increase their activities in the coming three years. The Swedish companies still face challenges with bureaucracy, corruption, complex labour and taxation regulations and complicated legal and regulatory system. SWEDEN PROCEDURES & RULES FOR STARTING UP BUSINESS IN SWEDEN

There are 6 options for foreign companies to set up a legal entity in Sweden: Limited Company (private or public) Branch Office Sole Trader Trading Partnership Limited Partnership Economic Association Limited Company (Aktiebolag) A limited company is set up by one or more persons or legal entities. It is to be represented by a Board of Directors and, in certain cases, a Managing Director. These persons have extensive responsibilities and, in certain circumstances, these persons can be personally liable for the company's debts. An approved or an authorized public accountant must accept appointment as Company Auditor before it is possible to register a limited company. An annual report for every financial year must be filed with the Swedish Companies Registration Office (Bolagsverket). The share capital for a company classified as private must be a minimum of SEK 100,000, and SEK 500,000 for a company classified as public. Registration of a limited company takes approximately one month. The normal procedure is to buy a company off the shelf and transform it during a general meeting of the shareholders. This is normally done in one day.
PROCEDURES & RULES FOR STARTING UP BUSINESS IN SWEDEN
Branch Office (Filial) If a foreign company intends to run a business in Sweden without registering a limited company, it normally needs to register a branch office. A branch office will have its own organisational number and VAT registration number. A foreign company can only have one branch office in Sweden. The branch office is not a separate legal body. It operates under Swedish law. No share capital is required since assets and debts belong to the foreign mother company. A branch office has separate book keeping from the foreign mother company. An annual report for the branch office is to be filed with Bolagsverket together with the annual report of the foreign mother company. The annual report is to be audited and authorised by an approved accountant. Appointment of a Managing Director is imperative and this person is required to be based within the European Union or one of its partner countries. Registration of a branch office normally takes 4-6 weeks. Sweden operates a one point of contact policy for incorporation of companies. Sole Trader (Enskild nringsidkare) Business activities carried out by a sole trader can be regarded as a form of business enterprise, but not as a legal entity. The business is run and represented by one person. The owner of the one man

Trading Partnership (Handelsbolag) A trading partnership is a business run by two or more partners. It does not require starting capital or an auditor. Partners assume financial responsibility. Limited Partnership (Kommanditbolag) A limited partnership is very similar to a trading partnership. The major difference is that in a limited partnership, there is at least one partner with limited liability and one partner with unlimited liability. Economic Association (Ekonomisk frening) An economic association is a legal entity, set up by a minimum of three physical persons or legal entities. Every member needs to pay a certain contributed capital and an annual membership fee, but there are no minimum levels. All members have the same voting right. An authorized or approved accountant is not compulsory in small associations.

Wholly Owned Subsidiary A wholly owned subsidiary can be set up either as a private limited company or as a public limited company in accordance with the provisions of the Companies Act, 1956. A private limited company requires a minimum paid-up capital of INR 100,000 or such higher capital as may be prescribed by its memorandum of association. A public limited company requires a minimum paid-up capital of INR 500,000. The time frame for registering a company is approximately 4-6 weeks. For incorporating a private limited company, minimum 2 (two) directors and 2 (two) shareholders are required as opposed to minimum 3 (three) directors and 7 (seven) shareholders required to incorporate a public limited company. The Government of India permits Foreign Direct Investment (FDI) on an automatic basis i.e. without prior government approval, except with respect to some exceptional cases such as defense, housing and real estate, retail, print media, banking, telecom etc. or in the case of foreign investors that have an existing joint venture or trade mark/ technology licensing arrangement in India.
Project Office Project offices are a method for foreign companies to establish a business presence in India, for a limited period of time. The project office is essentially a branch office, set up with the limited purpose of executing a specific project. Foreign companies engaged in turnkey construction or installation normally set up a project office for their operations in India. The steps required for establishing a project office in India and

Under the automatic route, no prior approval is required by a foreign investor to incorporate its Indian subsidiary. The details of the investments made must be filed with the Reserve Bank of India ("RBI") within the prescribed time after the Indian subsidiary has been incorporated. Proposals for foreign investment that are not covered under the automatic approval route, are considered for approval, on merits, by the Foreign Investment Promotion Board (FIPB), Government of India. Composite proposals i.e. proposals seeking other industrial approvals such as industrial license, technical collaborations etc. along with approval for foreign investment, are given a composite clearance by the FIPB. The FIPB typically takes 46 weeks to grant approval. Upon receiving approval from the FIPB, a foreign investor may incorporate an Indian subsidiary or invest in an existing Indian company, as the case may be. A subsidiary company is treated as a domestic company for tax purposes. The tax rate presently is 30% + 10% surcharge (if income is in excess of Rs. 10,000,000) + 3% education cess = 33.99%. Joint Venture Company A joint venture company operates under the same rules as a wholly owned subsidiary, but in the form of a 'partnership' between an Indian and a foreign company. This has traditionally been a useful way of gaining a presence in India within those industries where there have been legal limits to the extent of foreign ownership in Indian firms. With the gradual opening up of the Indian economy,
this alternative is slowly becoming less prevalent, although joint ventures can remain an interesting option from the strategic point of view. A joint venture company is treated as a domestic company for tax purposes. The tax rate presently is 30% + 10% surcharge (if income is in excess of Rs. 10,000,000) + 3% education cess = 33.99%. Limited Liability Partnership Limited Liability Partnership (LLP) is a separate legal entity, which has recently been introduced in India by way of the Limited Liability Partnership Act, 2008. An LLP is a body corporate that has perpetual succession and a legal personality of its own. LLP is an alternative corporate business form that gives the benefits of a limited liability of a company and the flexibility of a partnership. This structure contains elements of both 'a corporate structure' as well as 'a partnership firm structure'. An LLP can continue its existence irrespective of changes in its partners. Since an LLP is a separate legal entity, it is liable to the full extent of its assets, but the liability of the partners is limited to their agreed contribution in the LLP It is capable of entering into . contracts and holding property in its own name. Every partner of an LLP for the purpose of the business of the LLP is an agent of the LLP , , but not of the other partners. Liability of partners is limited except in case of unauthorized acts, fraud and negligence on their part. Further, no partner is personally liable on account of the

independent or unauthorized actions of other partners. Thus individual partners are shielded from joint liability created by another partner's wrongful business decisions or misconduct. Mutual rights and duties of the partners within an LLP are governed by an agreement between the partners or between the partners and the LLP as the case may be. Any individual or body corporate may be a partner in an LLP A . minimum of two partners are required for formation of an LLP There . is no limit to the maximum number of partners. Appointment of at least two Designated Partners is mandatory for all LLPs, who must be individuals and at least one of the Designated Partners must be a resident of India. In case of an LLP in which all the partners are bodies corporate or in which one or more partners are individuals and bodies corporate, at least two individuals who are partners of such LLP or nominees of such bodies corporate are required to act as Designated Partners. "Designated Partners" are accountable for regulatory and legal compliances, besides their liability as "partners, per-se". The LLP Act contains enabling provisions pursuant to which a firm (set up under the Indian Partnership Act, 1932), private company or unlisted public company (incorporated under the Companies Act, 1956) can convert themselves into LLPs. The time frame for registering an LLP is approximately 4-6 weeks.
