2011 CONSTITUTION INSTITUTE OF ELECTRONICS ENGINEERS OF THE PHILIPPINES UP STUDENT CHAPTER (UP IECEP) Electrical and Electronics Engineering

Institute College of Engineering, University of the Philippines, Diliman, Quezon City Preamble We, the members of the Institute of Electronics Engineers of the Philippines University of the Philippines Student Chapter, in order to establish and advance the ideals of our organization, do hereby ordain and promulgate this constitution. Article I. The Organization. Section 1. Section 2. The organization shall be known as the Institute of Electronics Engineers of the Philippines University of the Philippines Student Chapter or UP IECEP. It shall bear an official seal, as seen below. This shall be for all of its legal and promotional purposes.

Section 3.

It shall be an academic, non-profit organization for, of, and by Electronics and Communications Engineering students who are currently enrolled in or have graduated from the University of the Philippines Diliman. Its official residence shall be at the Electrical and Electronics Engineering Institute (EEEI), Velasquez St., University of the Philippines, Diliman, Quezon City 1101.

Article II. Declaration of Principles Section 1. Section 2. The organization shall uphold academic excellence of its members and fellow students. It shall promote holistic development of its members and fellow students, which includes but is not limited to: a. b. Socio-civic awareness Leadership skills development

Interpersonal skills enhancement

It shall foster camaraderie of its members with the EEEI students, alumni and faculty. It shall initiate, undertake, support and participate in activities according to the principles stated above.

Article III. Membership Section 1. Membership shall be open to all undergraduate Electronics and Communications Engineering students of the University of the Philippines who have passed EEE 31, provided they have not taken or are not yet taking EEE 190. The organization shall consist of active, inactive, probationary and alumni members. a. b. c. d. Section 3. Active members shall be those who have completed the application requirements and declared active status upon renewal Inactive members shall be those who have completed the application requirements and declared inactive status upon renewal Probationary members shall be those who have yet to complete the application requirements. Their status shall be upon the approval of the Membership and Internal Affairs Committee. Alumni members shall be members who have graduated from the University.

Section 2.

Membership shall be revoked upon voluntarily shifting out of or dismissal from the Bachelor of Science in Electronics and Communications Engineering program. The Membership and Internal Affairs Committee shall determine the proceedings of application for and renewal of membership and all other related matters. Application for membership shall be open on the first semester of the academic year whereas renewal of membership shall be every academic semester. Probationary status shall only last for one (1) semester. Probationary membership shall be revoked after the said duration. Membership to the mother chapter, IECEP - Expanded Metro Manila Student Chapter (EMMSC) shall be open to all active members of UP IECEP.

Article IV. Rights and Privileges of Members Section 1. Active members have the following rights and privileges: a. b. c. To exercise their freedom of speech, religion, and press as long as they do not dishonor the name of the organization To avail of the materials and resources of the organization To avail of the seminars hosted by the organization

To be heard and to vote in the elections of the organization To have access to all the records of the organization To request an audience with the Executive Committee, or any member of it thereof, regarding issues related to administrative and internal affairs. To attend any regular Executive Committee meeting and participate in its discussions upon approval of the presiding officer

Inactive members have rights pursuant to Section 1-a of this Article. Probationary members have rights pursuant to Sections 1-a to 1-c of this Article. Alumni members pursuant to Sections 1-a to 1-c and 1-e to 1-g of this Article. All members are entitled to due process before any disciplinary action is imposed.

Article V. Duties and Responsibilities of Members Section 1. Section 2. Section 3. Section 4. Every member shall know, abide by, and uphold this constitution. Every active member is required to join one (1) of the organizations working committees. Every active member is expected to attend every general assembly, to be aware of and participate in all activities of the organization. Every active member is required to attend at least two (2) General Assemblies every semester. Should the member be unable to fulfill this requirement, he/she should present a valid excuse to his/her committee head. Every active member is expected to fulfill his/her responsibilities in his/her designated committee. Every active member has the duty to settle all monetary obligations to the organization. No member shall dishonor the organization in any form or manner, which includes but is not limited to verbal, written, or digitally-published material. Any member who fails to comply with the mentioned duties and responsibilities as evaluated by the Executive Committee shall be tagged as Probationary Member unless vouched by his/her Committee Head

Article VI. General Assembly. Section 1. Section 2. Section 3. The General Assembly shall be composed of all active members of the organization. It shall convene whenever needed as deemed by the Executive Committee. A simple majority (50% plus one) of the active members shall constitute a quorum in general and special meetings.

Section 4.

In cases where the quorum has not been met, the Executive Committee shall have the right to waive the quorum.

Article VII. Organizational Structure Section 1. Section 2. The General Assembly shall be the highest policy-making body of UP IECEP The organization shall be governed by the Executive Committee, which is composed of the following: a. President b. Vice President for Internal Affairs c. Vice President for Secretariat d. Vice President for Marketing and Finance e. Vice President for Publicity and External Affairs f. Vice President for Academic Affairs g. Board of Directors The organization shall be composed of the following committees: a. b. c. d. e. Section 4. Section 5. Section 3.

The organization shall have at least one (1) Electronics and Communications Engineering faculty adviser, preferably an alumnus of the organization. Organizational Chart

Article VIII. Committees Section 1. Membership in any committee is assigned by the Executive Committee by taking into account the members committee preferences and/or the necessities of a committee. The Internal Affairs Committee has the following duties and responsibilities: a. b. c. d. Section 3. To facilitate the application and membership renewal process To establish a harmonious working relationship among members To produce, distribute and keep the organizations paraphernalia and tokens To disseminate relevant information to members and applicants

Section 2.

The Secretariat Committee has the following duties and responsibilities: a. b. c. To document the organizations activities To keep all records with relation to the organization To perform other clerical duties as may be prescribed by the Executive Committee

Section 4.

The Marketing and Finance Committee has the following duties and responsibilities: a. b. To implement marketing strategies to find sponsors for the organizations activities To seek fund-raising means for the organizations activities

Section 5.

The Publicity and External Affairs Committee has the following duties and responsibilities: a. b. c. To design and implement exhibits, presentations, and any other publication materials needed by the organization. To seek different means of promoting the organizations events and activities To establish and maintain harmonious affairs with other organizations and institutions

The Academic Affairs Committee has the following duties and responsibilities: a. b. c. To help active members in their academic and technical know-how To facilitate tutorials to improve the active members academic performance To acquire, keep and distribute academic material for potential use of active and alumni members

Article IX. Executive Committee Section 1. The President of the Executive Committee shall be the head of the organization.

Section 2.

The President has the following duties and functions: a. b. c. d. e. f. To head the Executive Committee and coordinate with its other members To preside on all meetings and discussions of the organization To be the official representative of the organization or assign a representative in case of his/her absence To be the signatory in resolutions, letters and other documents released by the organization To cast the deciding vote in case the voting of the Executive meeting is deadlocked To perform additional duties and responsibilities as may be prescribed of him/her by the Executive Committee or the General Assembly

Section 3.

The Vice President for Internal Affairs has the following duties and functions: a. b. c. d. To head the Internal Affairs Committee To preside over the meetings of the organization in case of the Presidents absence To assume the powers and responsibilities of the President in case the latter is incapable of performing his/her duties To perform additional duties and responsibilities as may be prescribed of him/her by the Executive Committee or the General Assembly

Section 4.

The Vice President for Secretariat has the following duties and functions: a. b. c. d. To head the Secretariat Committee To take down minutes of all meetings, whether of the Executive Committee or of the General Assembly To compile, organize and update all of the organizations databases by coordinating with the members of the Executive Committee To perform additional duties and responsibilities as may be prescribed of him/her by the Executive Committee or the General Assembly

Section 5.

The Vice President for Marketing and Finance has the following duties and functions: a. b. c. d. e. To head the Marketing and Finance Committee To manage and keep record of the funds and financial transactions of the organization and release a financial statement at the end of each major event and end of each semester To ensure the collection of fees from members for any affair the organization is promoting To authorize all disbursement of funds of the organization with the approval of the President To perform additional duties and responsibilities as may be prescribed of him/her by the Executive Committee or the General Assembly

Section 6.

The Vice President for Publicity and External Affairs has the following duties and functions: a. To head the Publicity and External Affairs Committee

To represent the organization in all external affairs as authorized by the President To take charge of all organizational publications To spearhead the preparation, distribution and maintenance of all promotional materials. To perform additional duties and responsibilities as may be prescribed of him/her by the Executive Committee or the General Assembly

The Board of Directors (BOD) has the following duties and functions: a. b. c. To represent the organization in all affairs with relation to its mother chapter, IECEP-EMMSC To update the local organization of all IECEP-EMMSC-related matters To keep, update, and care for the organizations database with relation to IECEP-EMMSC

Article X. Election, Appointment and Tenure of Office Section 1. Section 2. Nomination of officers, except the BOD, shall be held one week before the final General Assembly. The President must have the following qualifications: a. b. c. Section 3. Shall have at least two (2) consecutive semesters as active member before his/her term Shall not hold any office or apply in any other organization Shall not have a case filed with the Student Disciplinary Tribunal (SDT)

The Committee Vice Presidents and BOD must have the following qualifications: a. Shall have at least one (1) consecutive semester as active member before their term b. Shall not hold any office or apply in any other organization c. Shall not have a case filed with the Student Disciplinary Tribunal (SDT) Presentation and election of officers shall be held on the final General Assembly meeting. An electoral board composed of at least five (5) graduating students pre-selected by the outgoing Executive Committee shall supervise the elections. Secret balloting shall be used for the elections. Tallying of votes shall be conducted by the electoral board. The result of the elections shall be released no later than one (1) week after the elections are held. The newly-elected officers will determine the process of BOD selection. The BOD shall consist of three (3) active members, each representing the third year, fourth year and senior year members.

The BOD shall be selected within two (2) weeks after the new officers have assumed office. The term of the Executive Committee shall be from turnover from the preceding officers to the turnover to the proceeding officers. The turnover of officers, presided by the outgoing Executive Committee, shall be held no later than two (2) weeks after release of election results.

Article XI. Impeachment Section 1. The following are the grounds for impeachment of any officer: a. b. c. d. e. Section 2. Section 3. Misrepresentation of the organization Misuse of funds Gross negligence of duties Conviction in any disciplinary case filed with the SDT Revocation of membership in the organization

A group of at least three (3) members may appeal for the impeachment of any officer, in the form of a letter addressed to the Executive Committee. The President shall call a General Assembly meeting a week after the filing of complaint for the purpose of electing the members of an impeachment board composed of three (3) active members for the impeachment process. In case of impeachment proposed for the President, the Committee Vice Presidents will appoint the Vice President who will hold the Special General Assembly meeting. The impeachment shall be approved when a quorum is reached. In case the President is removed from office, the appointed Vice-President shall have the following options: a. b. To assume the Presidency and hold a special election for his/her vacated position To hold a special election for the Presidency within two (2) weeks after its vacancy

In case a member of the Board of Directors is removed from office, the Executive Committee shall appoint a new member within one (1) week after the vacancy of the position. In case of vacancy of other positions, special elections shall be held within one (1) week after the vacancy of that position.

Section 8.

XII. Amendments Section 1. A proposition for amendments must be made by at least five (5) members of the General Assembly.

Section 2.

The Executive Committee shall form an amendment board to draft the amendments. The amendment board shall consist of at least five (5) active members, one (1) of whom must be a member of the Executive committee. The amendments shall be adopted once a quorum is reached. No amendment, however, shall be made without prior notice to all the active members.
