TO BE OR NOT TO BE A COLLEGE: Edulife, Inc. is a non-stock educational corporation.

For the past six (6) years, Edulife was operating and given the recognition to offer elementary and high school or basic education. The Board of Trustees in several continuous meetings had been discussing the idea of offering tertiary or college education. The Board had already identified a parcel of land for the proposed campus site. Notices of meeting were sent to all of the five trustees of the Board for a decision to be made on the matter. They are Antonio, Beth, Carlos, Daniel, and Eva. In the scheduled meeting, the following were present: Mr. Juan Dela Cruz, with a PhD in Education, who was authorized by Trustee Antonio to participate in the deliberation and vote in his behalf; Director Beth, who owns the parcel of land identified as the future college site; Director Carlos, who came along with his lawyer, Atty. Santos, for the meeting; Director Daniel; and Director Eva, who was not present in the previous meetings of the Board on the matter. Conduct a board meeting and appoint one of you to be the acting corporate secretary to take the minutes of the meeting. Submit your minutes and the board action or decision, if any, on the matter. NOTE: In your minutes, set forth in detail the time and place of holding the meeting, how authorized, the notice given, whether the meeting was regular or special, if special its object, those present and absent, and every act done or ordered done at the meeting. Upon the demand of any director or trustee, the time when the director or trustee entered or left the meeting must be noted in the minutes; and on a similar demand, the yeas and nays must be taken on any motion or proposition and record carefully made.
