    mega University shall comply withthe restrictions on use for the Software and shall oke all reasonable steps to prevent unauthorized use, czess, copying or disclosure of MEGA Intellectual Property. University shall promptly notfy MEGA of known unauthorized Use of any MEGA Intellectual Propery. University shal not contest the valdty ofthe MEGA Intelecual Property 5.2 Trademarks. Univesity Is authorized to use any Sofware or corporate name, designation, logo, trade name, trademark, service name of service mark of MEGA, its affilates, or supplies in any marketing materials, offering circular, prospectus of otherwise, without the prior writen consent of MEGA. University agrees not o harm, either directly or indirectly, MEGA's brand image. Alright granted by the MEGA inthis article is discretionary and can be withdrawn at anytime without explanation. 6.3 Indemnification, 6.3.1 MEGA shall indemnity and hold hamiess University, and its permitted successors and assign, ftom and against any damages, labilties, costs and expenses (including reasonable attorneys. professionals’ fees and court costs) arsing out of any third party claims arising from a claim that the Sofware as provided to University by MEGA and as used by Unversity in compliance with the terms of the Agreement ininge any patent issued as of the Effecve Date of this Agreement in a jurisdiction where University is licensed to use the Software, or any other non-patent Intellectual Property right of athid party: provided however, that () University shall have promptiy provided MEGA wih writen notice thereof and reasoneble Eooperaton, information, and assistance in connection therewith; and (ij MEGA shall have sole contro! and authority with respect tothe defanse,satiement, or compromise thereof, provided that University's reasonable consent to any such settlement Cr compromise shal be required unless it includes afl release for al the University Indemnified Pare. 6.32 In the event that any Software becomes, or in MEGA’s opinion is likely to become. the subject of a claimed intellectual property intingement or other claim, MEGA may, atts option, () procure for University the right to continue using the Sofware; 6 () replace or modify such Software to be non-infringing, without incurring a material diminution in performance or function; oF Gi itnether ofthe foregoing i, in MEGA's judgment, reasonably available, MEGA may terminate the applicable license upon Notice to Univers, n which case Universit shall cease use of and retum all copies of the Software and related materia, 6.3.3 Inno event will MEGA have any obligations under this Agreement or any lability for any caim or action tothe extent the claim or action is caused by, of results from: () the combination or use of Sofware with non-MEGA software, sevices or data, if such claim or action would have been avoided by the non-combined or exclusive use of the Sofware, (i) modification of the Software by anyone other than MEGA if such claim or action would have been avoided by use of the unmodified Software, (i) University continuing the allegedly infringing actvty after noifcation or after receiving modifications that would have avoided the alleged infingement, or (v) use ofthe Software in an application or environment not approved by MEGA. 7. LIMITATION OF LIABILITY. Under no circumstances will MEGA, its affliates, or its suppliers be liable to University for any special, indirect, incidental Consequential, exemplary or punitive damages of any kind, including, but not limited to, compensation, reimbursement or damages on account of the loss of present or prospective profits, expencitures, investments or commitments, whether made in the establishment, development or maintenance of business reputation or gooduil for loss of data, cost of substitute sofware, cost of capital, and the ciaims of any third party, or for any other reason whatsoever. The liability of MEGA, its alates, or suppliers, f any, and universiy’s sole and exclusive remedy for damages for any claim of any kind whatsoever under this agreement or with respect to the software provided by MEGA, and regardless of the legal theory or the delivery or non-
