The Links, Incorporated is a not-for-profit organization of more than 12,000 women of color, committed to enhancing the quality of life in our communities. The Linkdom commitment to community services is through four main facets. Areas and chapters embrace programs that combine the effective coordination of all four facets into a "full umbrella program." NATIONAL TRENDS AND SERVICES The Links, Incorporated and Roche are working together to get people thinking about organ, tissue and bone marrow donation and the difference each of us can make in saving lives. SERVICES TO YOUTH The Links, Incorporated addresses the problems of black youth and their families in teenage pregnancy, juvenile crime and delinquency, alcohol and substance abuse, and other concerns. INTERNATIONAL TRENDS AND SERVICES The Links, Incorporated has had a long commitment to improving the the African continent. HEALTH AND HUMAN SERVICES The Links, Incorporated established the Health and Human Services facet in response to the chronic health disparities that persist in our communities and result in the decreased life expectancy of AfricanAmericans. The areas of emphasis are cardiovascular disease,

breast cancer, organ, tissue and blood donation and childhood obesity.

48 Hour Service Requirement Effective May 2, 2005 through April 30, 2006 and every fiscal year thereafter, an Active Link Member must complete the 48-minimum service requirement. Under the new policy, service is defined as time expended in planning, preparing, participating/implementing and evaluating the operational, programmatic, advocacy, and philanthropic activities of The Links, Inc. and The Links Foundation, Inc. Procedure Guidelines for Service: Service must be given on behalf of The Links, Incorporated, not another organization The Vice President (or her designee) records all service hours and turns them into the treasurer to be submitted with membership fees. Each Facet Chair and/or Committee Chair will submit a sign in sheet of attending members with number of hours for each activity or event held. Individual members do not submit service hours to the Vice President. Each member should keep a personal record of all hours earned.

Jacksonville Chapter of The Links, Incorporated By-laws ARTICLE I NAME The name of the organization shall be The Jacksonville Chapter of The Links, Incorporated. ARTICLE II PURPOSE The purposes of the organization shall be: to promote and engage in educational, civic and intercultural activities in order to enrich the lives of members and the larger community; and to work together towards achieving common goals. ARTICLE III MEMBERS Members shall be women, duly inducted into the Links, Inc. who have identifiable abilities and interests in educational, civic, and intercultural activities. ARTICLE IV MEMBERSHIP Section 1 Membership in the Jacksonville Chapter shall consist of women, duly inducted into The Links, Inc., who are residents of the locality the Chapter is established to serve i.e. Duval, Clay, St. Johns, Nassau, and Putnam Counties in Florida and St. Marys Georgia. Section 2 Membership in The Links, Incorporated is a privilege. Members are expected to uphold the core values of the organization and to abide by the letter and intent of the Constitution and Bylaws, Manual of Procedures and other rules and regulations. Section 3 Members shall be accorded rights and privileges in The Links, Incorporated according to their classification of membership. These include voting, holding office and participating in the activities of the National Assembly, Area Conference, and Chapters. . Section 4 A Chapter shall be chartered with a minimum of thirty (30) members and a maximum of sixty (60) non-Daughter of Link members. Daughters of Links (DOL) who are active members of a Chapter which has reached its maximum number of members shall not be included when calculating the total number of Active members in the Chapter. Total membership shall not exceed sixty (60) non-DOL members. Total membership shall not include alumna members.

Section 5 1) Persons eligible for Membership shall be women with the following qualifications: 21

2) Be of good moral and social standing in the community 3) Reside in the community which the chapter is established to serve (Duval, Clay, St. Johns, Nassau, and Putnam Counties in Florida, and St. Marys Georgia.). 4) Active involvement in educational, civic and/or intercultural community activities. 5) Ability to serve and actively support programs of the Links organization 6) Willingness to assume financial responsibilities of the organization 7) Possess skills and talents that will contribute to the vitality and success of the Chapter 8) Demonstrated ability to work with others Section 6 Membership Intake 1) The membership committee will conduct a membership assessment in accordance with the National Membership Guidelines, determine the attributes, professions, ages, etc. needed in the chapter and make recommendations to the chapter. The chapter must vote to accept new members before profile forms are distributed. 2) The membership committee upon approval for membership intake distributes profile forms for prospective members to the body in accordance with the National Membership guidelines. 3) Candidates for membership must be recommended by a member(s) in good standing. A member shall recommend only one prospective member during a membership intake cycle. 4) The Membership Committee presents the name and profile of each candidate to the membership in November. Voting takes place at the January meeting. A two-thirds affirmative vote of active members of the chapter who are present and voting shall elect the candidate to membership, with the exception of daughters of Links. At least thirty days advance notice of voting must be given to the membership. Absentee voting and voting by proxy are prohibited. In the event more candidates are affirmed for membership to the chapter than vacancies exist, the candidate(s) with the highest number of votes at or exceeding the minimum requirement will be invited to join the chapter 5) Candidates for membership must attend all sessions during the two-month period of induction. *Any candidate who cannot attend cannot be inducted until the next year. At least three workshops will be conducted for the candidates. New members shall be inducted between May 1 and June 30. Section 7 The daughter of a member of The Links, Inc. (DOL) who is at least twenty-one years of age, meets the membership criteria and resides in the locality the chapter it is established to serve shall be eligible to membership. The nominator shall send a completed membership form to the President or the Chairman of the Membership Committee. It shall be presented to the chapter at the next regular meeting. Voting on the candidate shall take place at any regular chapter meeting between September and May. A majority vote of active members present and voting shall elect the candidate to membership. Daughters of Links (DOL) who are active members of a Chapter which has reached its maximum number of members shall not be included when calculating the total number of Active members in the Chapter.

Section 8 NEW MEMBER FEES: Each new member shall pay a joining fee plus National dues and assessments for the current year and a Capital Endowment Fund fee, of one hundred dollars ($100.00), a Program Endowment fee of sixty dollars ($60.00), and a technology fee of fifty dollars ($50.00). They shall pay chapter dues and assessments as prescribed by the chapter. 22

All fees due to National Headquarters shall be post marked thirty-five (35) days prior to induction. The total amount required at the chapter level can be equal to but shall not exceed the amount required at the national level. Section 9 New members shall be presented with a Links History Book and a copy of The Constitution and Bylaws. Section 10 Privileges of Active Membership 1) All active members shall be accorded all rights and privileges of The Links, Inc. These include voting, holding office, and participation in the activities of the National Assembly, Area Conference and local chapter. 2) An active member who moves to the jurisdiction of another chapter shall, 3) upon request, be permitted to transfer to such chapter. 4) It is mandatory that the chapter of her new location accepts her into membership provided it has not reached its maximum number of members. 5) An active member of an established chapter may not transfer to a new chapter unless the member has established permanent residence outside the locality that her chapter was chartered to serve. Section 11 Membership Classification 1) Active: An active member in good standing is a member who: a) Has met all the obligations of her Chapter, Area, and the National Assembly; b) Is not under disciplinary action; c) Has met the minimum attendance requirements determined by her chapter; and the National attendance requirement for Assemblies or Area Conferences; d) Has met the minimum service requirements (I.e., 48 hours per year) of The Links, Incorporated; and e) Has participated in chapter activities and programs designed to implement the national programs of The Links, Incorporated. 2) Leave of Absence a) Members on Leave of Absence - an active member in good standing, who for reasons acceptable to her chapter, is granted a leave of absence for one year. At the discretion of her chapter, this leave may be extended for one additional year. A leave of absence for a longer period of time must have the concurrence of the Area director. A member on leave of absence has no chapter responsibilities; however, she must pay national dues and assessments through her chapter. A member on leave of absence has no chapter privileges. No member may be granted a leave of absence which would result in more than ten percent (10%) of the active membership of the Jacksonville Chapter being on leave of absence b) A member in good standing on active military duty who is deployed to a combat or high risk zone shall be granted a special military leave upon submitting a copy of her orders to her Chapter. While deployed to the zone, she shall be exempt from her minimum forty-eight (48) hour service requirement. Upon completion of said deployment, she shall not be responsible for her minimum forty-eight (48) hour service requirement for the remainder of the existing Links fiscal year in which she returns. During deployment, she shall not be responsible for National or Chapter dues and assessments until the fiscal year. 3) Alumna Member: a member who: a) has 30 years of service; or b) is age 70 with ten (10) years of service; c) has requested and been granted alumna status by the National Headquarters; d) is not responsible for any dues or assessments; and 23

e) has all the rights and privileges of The Links, Incorporated except voting, holding chairmanships of committees, and holding office. An alumna member will be an alumna of The Links, Incorporated, and may participate in chapter, area and national activities provided she pays any fees that may be required. Members who will meet the above requirements by the beginning of the next fiscal year (May 1) and who notify the chapter no later than the preceding March meeting shall be eligible for alumna status. a) An Alumna member shall assume financial responsibility for any chapter, area or national meetings which she attends, including the cost of meals, and registration, except when she is invited as a guest. To attend chapter meetings, she shall inform the chapter president of her intent. b) An Alumna member shall give notice to the president when she plans to participate in any activity requiring a fee or assessment. c) All financial responsibilities and required fees assumed by the alumna member must be paid through a chapter. d) It is not mandatory that she retire from Active membership at age 70 and ten years of service, after 30 years of service, or at any time. However, within a five-year period, alumna status can be reversed upon the request of the member to return to active membership providing the chapter has not reached its maximum number of members. The request shall be made through a Chapter to the National Headquarters of The Links, Incorporated. 4. Platinum Member: an active or alumna member who has reached 80 years of age or older and who has given 30 years of service. Platinum status is the highest honor accorded a member on recommendation of a chapter and approval by the National Executive Council. The rights and privileges of a Platinum member are outlined in the Membership Manual. 5. Provisory: an active member who is medically unable to participate in any activity outside of her home. Upon request, and with a notarized certificate from her doctor, she may be granted provisory membership status by the Chapter. A provisory member shall be responsible for National dues and assessments only. If and when the member becomes well enough to participate in activities outside of her home, she shall reactivate her classification to active member status. The rights and privileges of A Provisory member are outlined in the Membership Manual

Section 12 New members and transferring members shall participate in a mentoring program. All New members shall have a oneyear development period.

Section 13 A member who desires to resign from the Links, Incorporated must submit the resignation in writing to her local chapter. The resignation becomes final when accepted by the local chapter and formally acknowledged at the National Assembly. Section 14 Reinstatement to membership in The Links, Incorporated shall require adherence to the following: 1) A former member shall at no time become a member of The Links, Incorporated except through the process contained in this Section and shall pay a reinstatement fee. She shall apply for reinstatement between September and May. All reinstatements of former members shall occur between May 1 and June 30. A Chapter may consider a former member for reinstatement if it has not reached its maximum number of members. 2) A former member who resigned in good standing and applies for reinstatement within two (2) years of her 24

resignation shall be reinstated upon application and a majority ballot vote of the Chapter members present and voting. She shall pay current National and Chapter dues and assessments and a reinstatement fee in an amount determined by the National Finance Committee and approved by the National Assembly. A former member who forfeited her membership for non-payment of dues and applies for reinstatement within two (2) years of her forfeiture, shall be reinstated upon application, payment of all current Chapter and National dues and assessments, payment of all National and Chapter dues and assessments owed at the time of her forfeiture, and a majority ballot vote of the Chapter members present and voting. She shall pay a reinstatement fee in an amount determined by the National Finance Committee and approved by the National Assembly. A former member who resigned in good standing and applies for reinstatement more than two (2) years after her resignation, shall be reinstated upon application, a two-thirds (2/3) affirmative ballot vote of the Chapter members present and voting, and payment of current National and Chapter dues and assessments. She shall be inducted as in the process for a new member. She shall pay a reinstatement fee in an amount determined by the National Finance Committee and approved by the National Assembly. The time period for determining whether a former member is requesting reinstatement within two (2) years of her membership resignation or forfeiture, or more that two (2) years after her membership resignation or forfeiture, shall begin on the date the Chapter accepted her resignation or May 1 of the year of nonpayment of Chapter and/or National dues.

Section 15 Conduct - A member is expected to adhere to the Constitution, Bylaws, Manual of Procedures, Code of Ethics and Standards and other documents. Officers and members at the chapter, area and national level may be fined, required to apologize, censured, admonished/reprimanded, suspended or expelled for conduct that violates these requirements, for conduct injurious to the name of The Links, Incorporated, and for conduct harmful to members. The Membership Committee (chapter, area, national or an ad hoc committee) after a thorough investigation of the facts shall recommend to its Executive Committee the form of discipline that shall be imposed. In cases where suspension or expulsion is recommended, the procedures outlined in the Bylaws and Manual of Procedures shall be followed. Section 16 Disciplinary action shall include but not be limited to: 1) Oral or Written Apology--required of a member who has committed an offense for which this is deemed an appropriate means to show regret for the action. 2) Censure, Admonishment and/or Reprimand--a written statement of censure or admonishment issued by the appropriate chapter, area or national officer to a member for a violation of the Code of Ethics and Standards, Constitution and Bylaws or Manual of Procedures that causes limited harm to The Links, Incorporated or a member. 3) Fine--a sum paid as a penalty, punishment, or as restitution of monies misappropriated; or amount misappropriated in addition to the amount to be returned to the organization. 4) D. Suspension--withdrawal from all activity with her chapter, the area, and The Links, Incorporated for a specific period not to exceed one (1) year. Any member violating the rules and policies of her Chapter and The Links, Incorporated, shall be subject to suspension, by a two-thirds (2/3) affirmative vote of the active members of her chapter who are present and voting. She may be reinstated for the matted causing the suspension by two-thirds vote (2/3) of the active members of her chapter present and voting. She shall be responsible for all national, area, and chapter dues and assessments that occurred during the suspension. 5) Expulsion--total severance of a members relationship with The Links, Incorporated. Any member violating the rules 25

and policies of The Links, Incorporated may be recommended for expulsion by a two-thirds (2/3) affirmative vote of the members of her chapter who are present and voting. Expulsion becomes final by a two-thirds affirmative vote of the national assembly present and voting. An expelled member may not be reconsidered for membership. Section 17 Appeal Process: The right of a member to appeal disciplinary action. An appeal proceeds from the action of the Chapter to the respective Area Director, to the Executive Council, to the National Assembly. As a condition to membership, a member agrees to first pursue the appeal procedures set forth in the Constitution, Bylaws, Manual of Procedures, and Code of Ethics and Standards, rules and policies of The Links, Incorporated. Members are not allowed to bring legal counsel to any administrative hearing. Violations of these procedures shall be a basis for expulsion from the organization by a two-thirds (2/3) affirmative vote of the Executive Council.

ARTICLE V OFFICERS Section 1 The elected officers shall be: President, Vice President, Recording Secretary, Corresponding Secretary, Treasurer, and Financial Secretary. Chapter Officers are required to follow the same rules as other members in regard to residence and attendance. Section 2 Duties of the President. To preside at all meetings, to appoint chairmen except the chair of the nominating committee; committees except the nominating committee; serve as an ex officio member of all committees except the nominating committee and perform other duties as may be incumbent upon that office. She shall be bonded. The president shall: 1) Appoint a Parliamentarian as a consultant on matters of parliamentary procedure and the interpretation of The Links, Incorporated Constitution and By-Laws. 2) Appoint the Journalist who shall promote and publish activities of the chapter. 3) Appoint a Program Chair to develop and oversee the programs of the chapter in conjunction with the Executive Committee 4) Appoint an Ethics Chair to assure compliance with The Links Organization Code Ethics and Standards 5) Appoint a Chaplain to provide spiritual enrichment at meetings and activities as requested by the President 6) Appoint a Protocol Chair to assure adherence to protocol of The Links, Inc. Section 3 Duties of the Vice-President: To preside at meetings in the absence of the President and to perform such other duties as may be required of a president. She shall serve as Chair of the Membership Committee. Section 4 Duties of the Recording Secretary. To accurately record, organize and edit all proceedings of each meeting, disseminate the minutes at least 7 days prior to the regularly scheduled monthly meetings, and perform all duties incumbent upon that office. Section 5 Duties of the Corresponding Secretary. To issue all calls or notices of meetings and to inform the chapter of such correspondence that may come to the organization, as directed by the President. Notification of meetings must be disseminated at least 10 days prior to the scheduled meeting. 26

Section 6 Duties of the Treasurer. To receive from the Financial Secretary and deposit all funds of the organization in compliance with the Links, Inc. National Financial Manual Guidelines. All disbursements require an approved voucher and documentation. All monies must be disbursed by check only and no check will be valid unless there are two signatures of the following four officers: President, Secretary, Financial Secretary or Treasurer. The Treasurer shall be bonded. Section 7 Duties of the Financial Secretary: To keep a record of all income and disbursements, and to issue all receipts. She shall maintain reconciled records with the chapter Treasurer at all times and shall comply with the Links Inc, National Financial Manual Guidelines. The Financial Secretary shall be bonded. Section 8 Election of Officers. The chapter shall hold election of officers in April every two years. Voting will be by ballot. Absentee voting and voting by proxy are prohibited. ARTICLE VI COMMITTEES Section 1 With the exception of the Nominating Committee, the President shall appoint the chair of the standing committees. The President shall serve as ex officio member of all committees, except the Nominating Committee and the Ethics Committee. 1) Executive Committee - the president, elected and appointed officers and committee chairs shall comprise this committee. It shall meet a minimum of three times a year to discuss policy, planning and operational matters of the chapter. The executive committee will carry on the business of the chapter when regular meetings are not in session. 2) The Standing Committees are: a) Program: i) The Arts ii) National Trends and Services iii) International Trends and Services iv) Services to Youth v) Health and Human Services b) Fund Raising c) Membership d) Budget and Finance e) Constitution and Bylaws f) Protocol g) Courtesy/Social h) Archives i) Ethics j) Nominating Committee - The Chairman and four members will be elected at the January meeting prior to the biannual election. ARTICLE VII MEETINGS 27

Section 1 The number of monthly meetings will be in accordance with the National Constitution, which states eight meetings per year. The meetings shall be held on the fourth Wednesday of each month from September through May, with the following exceptions: If the fourth Wednesday precedes Thanksgiving, the meeting will be held on the third Wednesday. There shall be no meeting in the month of December. Section 2 Members are required to attend a minimum of 5 of the 8 regularly scheduled chapter meetings per fiscal year. If illness or job related responsibilities require that the member be absent for an extended period, the member may be eligible for a leave of absence Section 3 A call meeting may be scheduled independently by the President or the President may be required to schedule a call meeting at the written request of six members. The call meeting shall address important matters that arise between regular meetings which require urgent action before the next meeting. The call meeting shall address one or more specified items of business stated in the notice. The business shall be concluded in the call meeting or an adjourned meeting shall be called. (An adjourned meeting is a continuation of the call meeting or could be the continuation of a regular meeting.) The Corresponding Secretary shall be required to give 2 days notice to the membership before a call meeting can be held. This notice must include the time, date, place and item/s of business to be addressed. Only business mentioned in the call meeting notice can be transacted with the exception of a few minor details. If at a call meeting it becomes urgent to take action for which no notice was given, that action, to become legal, must be ratified at a regular meeting/or if ratification cannot wait, the action shall be ratified at another call meeting properly convened for that purpose. Section 4 The quorum shall consist of a majority of active members. Section 5 New members will not be required to host the chapter meeting until such time as the chapter shall establish a new order at the completion of the alphabetical rotation. Section 6 The hostesses for the monthly meeting must announce the meeting location one month in advance. Members who are unable to attend a monthly meeting must notify the hostess no later that the Sunday preceding the meeting or pay the cost of the meal. Dual residency members & Alumna members not participating in the hostess rotation will make direct arrangements to cover the cost of the meal with the monthly hostesses. Section 7 A member must notify the hostess of her absence from the meeting three days prior to the regular meeting date. If illness or job related responsibilities require that the member be absent for an extended period, the member may be eligible for a leave of absence Section 8 A chapter shall send a delegate and may send an alternate to the National Assembly and to the Area Conference. If a chapter fails to send a delegate to the National Assembly and the Area Conference, the chapter will be fined in accordance with National Assessments and Southern Area Requirements. 28

ARTICLE VIII DUES & ASSESSMENTS Section 1 Chapter shall determine the Initiation fee and assessments that will in compliance with The Links, Inc. National Guidelines. Section 2 Local dues shall be recommended each year by the Budget Committee and approved by two-thirds affirmative vote of the membership.

Section 3 In addition to dues, members will be assessed their prorated share of all expenses involved in an activity, social or otherwise, as approved by a two-thirds affirmative vote of the active membership at any regular or called meeting. Thirty days advance notice of voting must be given to the membership prior to changes in dues and/or assessments.

Section 4 Active members shall meet all chapter and financial obligations prior to the submission of dues and assessments to National Headquarters. The dues and assessments shall be paid to National Headquarters postmarked by the deadlines established by National Headquarters. Section 5 An active member carries the obligations to pay chapter and national dues and local and national assessments. Any member who is not financial by the deadline established by National Headquarters will be assessed a late fee. Section 6 Any member who is under or subject to disciplinary action will not have her dues accepted by the chapter for the fiscal year.

ARTICLE IX EMBLEMS Section 1 The official rituals of The Links, Incorporated shall be used for all The Links ceremonies. Section 2 The following articles shall be official emblems of The Links, Incorporated: 1) Flowers: White Rose 2) Colors: Green and White 3) Jewelry: Any jewelry with the official Links emblem

ARTICLE X PARLIAMENTARY AUTHORITY 29

The rules contained in the current edition of Roberts Rules of Order shall govern the chapter in all cases to which they are applicable and not inconsistent with the Constitution and By-Laws of The Links, Inc.

ARTICLE XI AMENDMENT OF BY-LAWS, PROCEDURES OR STANDING ORDERS Section 1 The By-Laws may be amended at any regular meeting of the chapter by a two-thirds vote of the members present and voting providing that the amendment has been submitted in writing at the previous meeting. Section 2 Procedures or Standing Rules can be amended or changed at any regular meeting by a two-thirds vote of the members present and voting. Revised 11/28/2012

Immediate Family - shall be defined as: Husband, Children, Mother and Father Hospitalization /Confinement Link Dish Garden, not to exceed $45.00 including tax and delivery. Any subsequent hospitalization within a period of three months will be acknowledged with a card or book of spiritual poems Connecting Link Fruit Basket, not to exceed $25, including tax and delivery Heir-O-Link A card, or single rose, delivery by a Link personally. Death Link Spray for Ceremony and/or Funeral. The Spray not to exceed $125.00 including tax and delivery. Connecting Link A Floral Arrangement in the price range of $50.00 Heir-O-Link a Floral Arrangement in the price range of $50.00 Links Parent or Guardian A Floral Arrangement in the price range of $50.00 In the event of the death of a Link or a Links immediate family member, a donation may be made by the chapter to selected charity or organization in the amount designated above per instruction by the Link or her designee. Birth - Link giving birth or adopting a child will receive a gift for the child not exceed $50.00 Immediate Past President at the end of term a gift is to be presented at the May meeting ending the term, not to exceed $100.00. Retirement a presentation from the Chapter. The cost shall not exceed $35.00. Graduations a gift or gift certificate in the amount of $50.00 will be given to an Heir-O-Link who graduates high school or college upon receipt by the chapter of an announcement. Weddings Links will receive a gift certificate for $100.00 and Heir-O-Links will receive a gift certificate for $50.00. Celebrations/Acknowledgements will be placed in the meeting notice. Information will be solicited from each Link during each meeting. Please have your news ready Birthday of a Link will be celebrated at the monthly meeting in accordance with the Social & Courtesy/committee plans. Visitation we will make every effort to visit our Link Sisters who are confined at home. An open invitation is extended to all Links to participate in the home visits. 31

Requests: 1. Each Link is asked to notify Link Susan Jones (641-0295) or President Betty Cody (363-8227) when an illness or other circumstances arises that is related to the welfare of a Link. 2. National and Area officers of the Links, Inc. will be honored according to National or Area Protocol. Hosting a Monthly Meeting: The hosting members shall select a safe, upscale location of adequate size to conduct the regular monthly meeting on the fourth Wednesday of the month at 6:00 pm during the months of September through May. Please request use of the facility for no less than four hours. Foods served at the hostesses expense should be in accordance with the seven basic food groups. If a member has a special dietary need or restriction, she should try to advise the hostess one month in advance. A member who is unable to attend the meeting should notify the hostess as soon as she knows, but no less than three days prior to the meeting so that the number of meals and therefore the costs can be reduced. When a member does not provide this regret notification, that member will be required to reimburse the hostess for her meal. Thank you for your cooperation and courtesy in all these matters.
